Page 1 CONFORMED COPY LOAN NUMBER 4326 UZ Loan Agreement (Tashkent Solid Waste Management Project) between REPUBLIC OF UZBEKISTAN and INTERNATIONAL BANK FOR RECONSTRUCTION AND DEVELOPMENT Dated November 16, 1998 LOAN NUMBER 4326 UZ LOAN AGREEMENT AGREEMENT, dated November 16, 1998, between the REPUBLIC OF UZBEKISTAN (the Borrower) and the INTERNATIONAL BANK FOR RECONSTRUCTION AND DEVELOPMENT (the Bank). WHEREAS (A) the Borrower, having satisfied itself as to the feasibility and priority of the Project described in Schedule 2 to this Agreement, has requested the Bank to assist in the financing of the Project; (B) the Project will be carried out by the Hokimiyat of Tashkent (as hereinafter defined) with the assistance of: (i) the Borrower, and as part of such assistance, the Borrower will make available to the Hokimiyat of Tashkent the proceeds of the Loan as provided in this Agreement; and (ii) Proizvodstvennoe Upravlenie Spetstrans (Spetstrans) as provided in the Project Agreement (as hereinafter defined); (C) the Borrower is expected to enter into a loan agreement (the EBRD Loan Agreement) with the European Bank for Reconstruction and Development (EBRD) in an aggregate principal amount of US$21,000,000 to assist in financing a portion of Parts A and B of the Project on the terms and conditions to be set forth in the EBRD Loan Agreement; and WHEREAS the Bank has agreed, on the basis, inter alia, of the foregoing, to extend the Loan to the Borrower upon the terms and conditions set forth in this Page 2 Agreement and in the Project Agreement; NOW THEREFORE the parties hereto hereby agree as follows: ARTICLE I General Conditions; Definitions Section 1.01.
