Barrow Prime Minister and Minister of Finance, Public Service, Energy and Public Utilities Office of the Prime Minister Sir Edney Cain Building Belmopan City, Belize Re: BELIZE- Management and Protection of Key Biodiversity Areas Project (Grant No. TFO 16773) Amendment No. I to the Grant Agreement Dear Prime Minister: Please refer to the Agreement (the "Grant Agreement"), dated November 5, 2014 between Belize (the "Recipient") and the International Bank for Reconstruction and Development (the "Bank") for the above referenced Project. Please note that capitalized terms used in this letter ("Amendment Letter") and not defined herein have the meaning ascribed to them in the Grant Agreement. We refer to your letter dated August 30, 2017 requesting the amendment of the Grant Agreement to resettlement costs under the Project. We are pleased to inform you that the Bank hereby agrees to amend the Grant Agreement as follows: 1. Part 4 of the Schedule 1 to the Grant Agreement shall be amended to read as follows: "Part 4. Project Management, Monitoring and Assessment Support for: (a) Project management and implementation support including technical, administrative and fiduciary support and compliance with environmental and social safeguards (including Resettlement Expenditures); and (b) monitoring and evaluation, data collection and stakeholder involvement and coordination." 2. The table of Section IV.A.2 of Schedule 2 to the Grant Agreement shall be amended to read in its entirety as follows: 1818 H Street NW - Washington, DC 20433 USA Proposed Amount of the Grant Percentage of Expenditures Allocated to be Financed Category (expressed in USD) (inclusive of Taxes) (1) Goods, works, non-consulting services, consultants' services, Training, and Monitoring and 4,835,600 100% Compliance Activities, except for Sub-projects, and Operating Costs (2) Goods, works, non-consulting services, consultants' services, and 1,220,000 100% Training for Sub-projects (3) Resettlement Expenditures 30,000 100 % TOTAL AMOUNT 6,085,600 3. The following definition is added and placed in alphabetic order to the Appendix to the Grant Agreement: ""Resettlement Expenditures" means the expenditures incurred in financing the cost of providing compensation or resettlement assistance under the Project in accordance with the IRPF and the pertinent RAP"" Except as specifically amended in this Amendment Letter, all other terms and conditions of the Grant Agreement shall remain in full force and effect. Please confirm your agreement with the foregoing amendment by signing, dating and returning to us the enclosed copy of this Amendment Letter. This Amendment Letter will be executed in two (2) counterparts, each of which shall be an original. The provisions of this Amendment Letter will become effective as of September 18, 2017, upon receipt by the Bank of a countersigned original of the Amendment Letter.
