Page 1 CONFORMED COPY CREDIT NUMBER 2268-1-UG (Amendment) Agreement Amending Project Agreement (Third Power Project) between INTERNATIONAL DEVELOPMENT ASSOCIATION and UGANDA ELECTRICITY BOARD Dated February 22, 2000 CREDIT NUMBER 2268-1 UG (Amendment) AGREEMENT AMENDING PROJECT AGREEMENT Amending AGREEMENT, dated February 22, 2000, between INTERNATIONAL DEVELOPMENT ASSOCIATION (the Association) and UGANDA ELECTRICITY BOARD (UEB). WHEREAS (A) by a Development Credit Agreement dated January 9, 1992 between The Republic of Uganda (the Borrower) and the Association, the Association agreed to make available to the Borrower an amount in various currencies equivalent to eighty-six million nine hundred thousand Special Drawing Rights (SDR 86,900,000) on the terms and conditions set forth in the Development Credit Agreement, but only on condition that UEB agree to undertake such obligations toward the Association as are set forth in the Project Agreement (the Project Agreement) entered into on January 9, 1992 between the Association and UEB; (B) by a subsidiary loan agreement (the First Subsidiary Loan Agreement) entered into on April 29, 1992, between the Borrower and UEB, part of the proceeds of the credit provided for under the Development Credit Agreement were made available and relent to UEB on the terms and conditions set forth in the First Subsidiary Loan Agreement; and (C) under an Agreement Amending the Development Credit Agreement of even date herewith between the Borrower and the Association, the Borrower has agreed to make available a supplemental credit (the Additional Financing) in the amount of twenty-four million Special Drawing Rights (SDR 24,000,000) of which an amount of SDR 20,900,000 shall be made available to UEB under a subsidiary loan agreement (the Page 2 Second Subsidiary Loan Agreement) to be entered into by the Borrower and UEB; NOW THEREFORE the parties hereto hereby agree to amend the Project Agreement as follows: Section 1.01. All references to the Development Credit Agreement shall mean the Development Credit Agreement as amended by the Agreement Amending the Development Credit Agreement of even date herewith. Section 2.01. All references to the Subsidiary Loan Agreement in the Project Agreement shall include the First Subsidiary Loan Agreement and the Second Subsidiary Loan Agreement. Section 3.01. This Amending Agreement shall come into force on the date upon which the Agreement Amending the Development Credit Agreement becomes effective.
