Page 1 September 12, 1995 Empresa Nacional de Electricidade - ENE Predio Geominas 6ä e 7ä Andares C.P. 772 Luanda, Angola Dear Sirs: ANGOLA: Credit No. 2385 ANG (Power Sector Rehabilitation Project) We refer to the Development Credit Agreement dated July 20, 1992 entered into between the Republic of Angola and the International Development Association (the Association) and the Project Agreement dated July 20, 1992 entered into between Empresa Nacional de Electricidade (ENE) and the Association in respect of the above-mentioned Project. In response to a request from the Minister of Planning, as representative of the Republic of Angola (the Borrower), we propose amending the Development Credit Agreement to include rehabilitation of the Biopio GT thermal and hydro power plants and engineering studies in connection with the rehabilitation. It is our understanding that this does not increase or alter the obligation of ENE under the Project Agreement in any way. A copy of the amendment letter to be signed with the Borrower is attached. In order to put the amendment of the Development Credit Agreement into effect, the following changes are hereby made in the Project Agreement: In Sections 2.01, 2.04 (a) and (b) and 3.06, the references to "Parts B and C of the Project" are deleted and substituted, in each case, by the reference "Parts C and D of the Project." All other terms and conditions of the Project Agreement remain in full force and effect. This amendment will become effective on the date that the Association is in receipt of the countersigned copy of this letter together with the copy of the letter amending the Development Credit Agreement countersigned by the Borrower, and we will inform you on such date of the effectiveness of the amendment.
