C I 1A L LOAN NUMBER 1295 WAF POCUMENTS (Amendment) AMENDMENTS dated v3 to GUARANTEE AGREEMENT (CIMAO Regional Clinker Project) between REPUBLIC OF THE IVORY COAST and INTERNATIONAL BANK FOR RECONSTRUCTION AND DEVELOPMENT dated June 28, 1976 AMENDMENTS AGREEMENT, dated 1) t V 0 2-i , 1983, between REPUBLIC OF THE IVORY COAST (hereinafter called the Ivory Coast) and INTERNATIONAL BANK FOR RECONSTRUCTION AND DEVELOPMENT (here- inafter called the Bank). WHEREAS (A) by a Guarantee Agreement (CIMAO Regional Clinker Project) dated June 28, 1976 between the Ivory Coast and the Bank (hereinafter called the Ivory Coast Guarantee Agreement), the Ivory Coast has agreed to undertake such obligations toward the Bank as therein set forth; (B) by a Development Credit Agreement of even date here- with between the Republic of Togo and the Association, the Association has agreed to make available to the Republic of Togo an amount in various currencies equivalent to five million three hundred thousand Special Drawing Rights (SDR 5,300,000), on the terms and conditions set forth in such Development Credit Agreement; and (ii) by a Development Credit Agreement of even date herewith between the Republic of Ghana and the Association, the Association has agreed to make available to the Republic of Ghana an amount in various currencies equivalent to eight million six hundred thousand Special Drawing Rights (SDR 8,600,000), on terms and conditions set forth in such Development Credit Agreement, all said amounts to assist Ciments de l'Afrique de l'Ouest (CIMAO) (hereinafter called CIMAO or the Borrower, as the context may require) in carrying out the Project described in Schedule 2 to each said Development Credit Agreement (hereinafter called the CIMAO Restructuring Project); and (C) the Association has agreed to make said amounts avail- able to the Republic of Togo and the Republic of Ghana only on condition that: (i) the Ivory Coast agree to certain amendments to the Ivory Coast Guarantee Agreement as such amendments are hereinafter set forth; and (ii) CIMAO agree to undertake such obligations toward the Association as are set forth in a Project Agreement of even date herewith between the Association and CIMiAO (hereinafter called the Project Agreement); WHEREAS the Ivory Coast, in consideration of the Association entering into the agreements referred to in Recital (B) above, - 2 - has agreed to the amendments to the Ivory Coast Guarantee Agree- ment which are hereinafter set forth; NOW THEREFORE the parties hereto hereby agree as follows: 1. Paragraph (a) of Section 2.02 of the Ivory Coast Guarantee Agreement is hereby amended by adding the words "and the Project Agreement" after the words "the Loan Agreement" whenever the latter words appear in said paragraph. 2. Paragraph (b) of Section 2.02 of the Ivory Coast Guarantee Agreement is hereby amended by adding the woris "and the CIMAO Restructuring Project" after the words "the Project" whenever the latter words appear in said paragraph. 3. Paragraph (a) of Section 2.03 of the Ivory Coast Guarantee Agreement is hereby amended by replacing "30.74%" by the words "one-third (1/3)" and by replacing the words "Section 5.09 of the Loan Agreement" by the words "Section 4.07 of the Project Agreement". 4. Paragraph (b) of Section 2.03 of the Ivory Coast Guarantee Agreement is hereby amended by replacing the words "Section 5.08 (a) of the Loan Agreement" by the words "the Project Agreement". 5. Paragraph (a) of Section 3.02 of the Ivory Coast Guarantee Agreement is hereby amended by adding thereto the words "and at least at the level set forth in Section 4.08 of the Project Agreement". 6. A Section 3.03 is hereby added to Article III of the Ivory Coast Guarantee Agreement to read as follows: "Section 3.03. (a) The Ivory Coast shall, at the request of the Bank, exchange views with the Bank with regard to the progress of the CIMAO Restructuring Project. (b) The Ivory Coast shall promptly inform the Bank of any condition which interferes or threatens to interfere with the progress of the CIMAO Restructuring Project." 7. The above amendments shall come into force and effect on the date upon which the agreements referred to in paragraphs (B) and (C) (ii) of the Preamble to this Agreement shall have become effective. -3- IN WITNESS WHEREOF, the parties hereto, acting through their representatives thereunto duly authorized, have caused this Agreement to be signed in their respective names in the District of Columbia, United States of America, as of the day and year first above written.
