Box l0 - 9009 1000 Monrovia 10, Liberia C/o Fax: (231)22 62 08 COMMUNITY DIRECTED TREATMENT WITH IVERMECTIN (CDTI) PROJECT IN THE SOUTH EASTERN REGION OF LIBERIA (LIBSE3) For the purpose of developing and establishing sustainable Community Directed Treatment with Ivermectin (CDTI) for the control of onchocerciasis in Liberia, The World Health Organization's African Programme for Onchocerciasis Control, hereinafter referred to as "WHO/APOC" on the one hand, and The National Onchocerciasis Task Force, Ministry of Health and Social Welfare, Liberia, hereinafter referred to as "the Institution", on the other hand, HAVE AGREED AS FOLLOWS 0 ', A\Ift ?ll0u 1. Work to be performed Further to the Memorandum for the African Programme for Onchocerciasis Control (APOC), for pHASE lI(2002-2007) and the Phasing out Period (2008-2010) (the "Memorandum"), which was endorsed by the Government of Liberia, this Agreement is concluded for the purpose of developing and establishing sustainabte community directed ivermectin distribution Project in the four counties (Grand Gedeh County, Grand Kru County, Maryland County, River Gee County and Sinoe County) in the South Eastem Region of Liberia. The Project named "LIBSE3" shall be carried out in accordance with the proposal submitted by theNorF of Liberia in July 2007, reviewed and approved by the Management of Apoc. The Project shall be undertaken in 33 districts of five counties (Grand Gedeh County, Grand Kru County, Maryland County, River Gee County and Sinoe County) in Liberia. The plans of work and the time line as defined in the approved Project proposal may be modified by mutual agreement of the parties taking into account the operating experience and needi of the programme by thi use of "Implementation letters" issued by "WHO/APOC". 22. Oblisations WHO/APOC 2.1. Total Financial Oblieation The total financial obligation of WHO/APOC, under this Agreement is US$58,490 (Fifty Eight Thousand Four Hundred Ninety dollars US). The maximum obligation of APOC for any budget line item in any project is the amount indicated in the approved budget line, and the total obligation may not exceed the sum ofthese budget lines for any single Project or group ofProjects. The amended and approved third year budget for 2008 (summary and details) is attached herewith as Annex I 2.2. Audit of accounts WHO will retain funds for financial audit of the Project and shall have the right to inspectthe accounts at any time by way of its intemal auditors, its external auditors or other auditors contracted for the purpose. The auditors shall have the right to inspect all transactions pertaining to the Projects between the Institution's bank account and actual payments for goods and services and to examine supporting documentation and relevant accounting entries in the Institution's books. In order to facilitate such reporting and audit, the Institution shall ensure that accurate and systematic accounts are kept in respect of the funded activities. 3. Contribution the Institution For its part, the Institution, in agreement with its own Govemment, shall provide all the inputs required from the Government, the NGDO's and other partners, including all the staff necessary for the execution of the Project in accordance with this Agreement and as set forth in the Memorandum and in the approved project proposal. 4. Period covered by this Agreement This Agreement covers a period of l2 months from I't January to 3l'r December 2008. 5. Financial arrangements 5.1' The total amount of expenditure estimated by this Agreement is US$58,490 (Fifty Eight Thousand Four Hundred Ninety dollars US). 5.2' From the remaining amounts of US$58,490 (Fifty Eight Thousand Four Hundred Ninety dollars US), a first instalment of US$29,245 (Twenty Nine Thousand Two Hundred Forty Five dollars US) will be paid to the Institution as soon as possible after the signature of the Agreement by both parties, provided that alithe other conditions precedent to disbursement have been met. 5.3' The subsequent instalment(s) will be paid on request from the Institution accompanied by a statement reconciling expenditure already made to the various budget lines. A request for further funding ior a project should be made when 80% ofthe previous advances have been spent. The payment of these replenishments will be subject to: (a) The reception of the statement mentioned above; (b) The regular transmission at the end of each month of a copy of the bank statement, reconciled with a list of all cheques drawn on the account. Documents should be forwarded to the following address: 3The Programme Director Attention: The Budget and Finance Officer/APOC WHO/APOC 0l BP 549 Ouagadougou 0l Burkina Faso (c) The submission of a progress report six months after the funds have been received, and another after l2 months indicating the activities carried out and the amount spent against each budget line. One or both of these reports will be formally reviewed as a basis for extension ofthis Agreement for a furtherperiod orthe signingofa subsequent Agreement for further funding. The instalments shall be paid to the Institution, through the specialNational Onchocerciasis Task Force Bank Account, opened exclusively for WHO/APOC funds to be used on the project. 5.5. Any unliquidated balance at the end of the period covered by the current Agreement shall be paid back to WHO/APOC by the Institution or if specifically agreed, deducted later on from ihe amount of the sum wHo/APoc will pay in the framework of any possible subsequent Agreement. 6. Legal arrangements It is understood that the work under this Agreement will be performed under the technical supervision of WHO/APOC but does not create any employer/employee relationship between WHO/APOC and the Institution. The Institution shall in that respect be solely responsible for the manner in which the work will be carried out. WHO/APOC shall not be responsible for any loss, accident, damage or injury suffered by the Institution or any person claiming under it, arising during or as a result of the execution of this work oiin any manner whatsoever. Any dispute relating to the interpretation or execution of this Agreement shall, unless amicably settled, be subject to conciliation. In the event of failure of the latter, the dispute shall be settled by arbitiation. The arbitration shall be conducted in accordance with the modalities to be agreed upon by the parties or, in the absence of agreement, with the Uncitral Arbitration Rules. The parties shall accepi the arbitral award as final. If your Institution accepts this proposal, we should be grateful if you would see to the signing of all thefour copies of this Agreement by two persons authorized to sign on behalf of the Institution responsible for the execution of the work and retum three copies to us. 46r Signatories WHO/APOC Dr. L.
