Work to be performed COORD/APO Further to the Memorandum for the African Programme for Onchocerciasis Control (ApOC), PHASE ll (2002-2007) and the Phasing out period (2008-201 0) (he "Mernorandum,,), which *u, .igrr.Jby tn.Govemment of Malawi , this Agreement is concluded for the purpose of developing and establishing"sustainable communi$ directed ivermectin distributiur Project for the control of onchoJerciasis in two districts ofOnchocerciasis Foci in Malawi. The Project named "MWS" shall be carried out in accordance with the proposal submrfted in 0ctober 20 06, revrewed and approved by the Management of ApOC. The Project shall be undertaken in two districts of Malawi (Thyolo and Mwanza) which are some of the currently known Onchocerciasis foci in the counfy. The plans of work and the time Iine as defined in the approved Project proposal maybe modified bymurual agreernent of the parties taking into account the operating experience and needs -of tn" programme by the usc of " Implementati on letters" issued by " WHO/APOC',. :' r. z 2. Obliga"tions of IryH-O/APOC 2.1. Total Financial Oblieatior-r The total financial obliption ofWHO/APOC underthis amendmerrt is US$15,100(Fifteen Thousand and one Hundred dollars US). The ma:<imum obligation ofAPOC for anybudget line item in this project is the amount indicated in the approved budget line and the total obligatim may not exceed the sum of these budget lines. The amended and approved budget for 2007, is attached herewith as Annex I 2.2. Audit of Accounts WHO will retain funds for financial audit of the Project and shall have the right to inspect the accounts at any time by way of its internal auditors, its external auditors or other auditors confracted for the purpose. The auditors shall have the right to inspect all hansacfions pertaining to the Projects between the Institution's bank account and actual payments for goods and services and to examine supporting documentation and relevant accounting entries in the Institution's books. In order to facilitate such reporting and audit, the Institution shall ensure that accurate and systematic accounts are kept in respect of the funded activities. 3. Contribution of the Ipqtitution For its part, the Institutiqr, in agreement with its own Govemmen! shall provide all the inputs required from the Government, the NGDO's and other partnetrs, including all the staffnecessary for the execution of the project in accordance with this Agreement and as set forth in the Memorandum and in the approved Project proposal. 4. Period covered bv this Agreemept This Agreement covers a period of 12 months from l't January 2007 to 31't Decemb er 2007 5. Financial ngements 5.1. The total amount of expenditure estimated by this Agreement is US$15,100(Fifteen Thousand and one Hundred dollars US). US$ 10,000 ( ten thousand dollars US) will be retained by WHO/ApOC for the purchase of a public address system and motorcycles. 5.2. From the remaining amount of US$5,100 (five thousand and one hundred dollars US), a first tnstallment of US$ 2,550 (two thousand, five hundred and fifty dollars US) will be paid to the Institution on signature of the Agreement by both parties, provided that all the other conditions precedent to disbursement have been met. 5.3. The subsequent installment(s) will be paid on request from the lnstituti&r accompanied by a staternent reconciling expenditure already made to the various budget lines. A request for further funding for a project should be made when 80% ofthe previous advances have been spent. The payrnent of these replenishments will be subject to : (a) The reception of the statement mentioned above ; (b) The regular transmission at the end of each month of a copy of the bank statement, reconc i led wtth a Iist of all cheques drawn on the account. One or both of these reports will be formally reviewed as a basis for extension of this Agreement for a further period or the signing of a subsequent Agreement for further funding. The instalments shall be paid to the Institutior, through the special National Onchocerciasis Task Force Bank Account, opened exclusively for WHO/APOC funds to be used on the project. 5'5. AnyunliquidatedbalanceattheendoftheperiodcoveredbythecurrentAgreementshallbepaidback to WHO/APOC by the Institution or if specifically agreed, deducted later on from the amount of the sum wHo/APoc will pay in the framework of any possible subsequent Agreement. 6. Lesal a ments It is understood that the work under this Agreement will be performed under the technical supervision ofWHOiAPOC but does not create any employer/employee relationship between WHO/APOC and the Insiitution. The Institution shall in that respect be solely responsible for the nunner in which the work will be carried out. WHO/APOC shall not be responsible for any loss, accident, damage or injury suffered by the Institution or any person claiming under it, arising during or as a result of the execution of this work or in anymanner whatsoever. Any dispute relating to the interpretation or execution of this Agreement shall, unless amicably settled, be subject to conciliation. In the event of failure of the latter, the dispute shall be settled by arbitration. The arbitration shall be conducted in accordance with the modalities to be agreed upon by the parties or, in the absence of agreement, with the Uncitral Arbitration Rules. The parties shall accept the arbikal award as final.
