The lnstrtuticn rvill be responsrble for swrft clearance of these goods on arlrlal. The equrpnrent and supplies fumished by WHO under thrs agreement will be handed over to the Llstrtutton upon arrtval at the port of entry rn the country, against appropriate recelpts. 2.3. Audit of accounts wHO urll retatn funds for financial audrt of the Project and shall have the nght to inspect the accounts at anY tlme by rvay of its internal auditors, its extemal auditors or other auditors contracted for the purpose. The audltors shall have the right to inspect all transactions pertaining to the Prolects between the Institutrorr's bank accoullt and actual payments for goods and services and to examine supportlng documentatron and relevant accountlng entrles rn the Instituttotl's books. ln order to facilitate such reportrng and audrt, the lnstrtutrcn shall ensLlre that accurate and systematic accounts are kept rn respect of the funded actrvrtres. 3. Contribution of the Institution For lts part, the Instrtutiot, in agreement with lts own Govemment, shall provrde all the lnputs requrred l}om the Government. the NGDO's and other partners, rncluding all the staff necessary for the executron Lf the Prolect tn accordance with thrs Agreement and as set forth in the Memorandum and in the approved pro.lect proposal. 4. Period ered bv this ement Thrs Agreement covers a period of 12 months from l" January 2007 to 31" Decemb er 2007 ) Financial arrangements 5 l. The total amount of expenditure estimated by thrs Agreemenr is US$ i4,147 (sevent1,' four thousand, one hundred and fortv seven dollars US). One or both of these reports u rll be formally revtewed as a basis for extension of this Agreernent for a further penod or the srg-nrng of a subsequent Agreement for further funding. The lnstalments shall be pard to the Instrtutiur, through the specral Natronal Onchocercrasts Task Force Bank Account, opened exclusively for WHO/APOC funds to be usid on the proJect. 5.5- Any unlrquidated balance at the end of the penod covered by the current Agreement shall be pard back to wHo/APoC by the Institutim or if qpecifically agreed, deducted later on from the amounr of the sum wHo,APoc *rll pay in the framework of any possible subsequent Agreernent. 5. Lesal arrangements It ts understood that the work under this Agreement will be performed under the technrcal supen.rsron of\\-HO APOC but does not create any employer/employee relationshipbetween WHOiApOC and the Insrrturron.
