For the purpose of developing and establishing sustainable Community Directed Treatment with Ivermectin (CDTI) for the control of onchocerciasis in Malarvi, The World Health Organization's African Programme for Onchocerciasis Control, hereinafter referred to as "WHO/APOC" on the one hand, and The National Onchocerciasis Task Force, Ministry of Health and Population, Malawi, hereinafter referred to as "the Institution", on the other hand, HAVE AGREED AS FOLLOWS | 4 AI,R. 2008 1. Work to be performed Further to the Memorandum for the African Programme for Onchocerciasis Control (APOC), PHASE lI (2002-2007) and the Phasing out period (2008-2010) (the "Memorandum"), which was signed Ay ttte Govemment of Malawi , this Agreement is concluded for the purpose of developing and establishing sustainable community directed ivermectin distribution Project for the control of onchocerciasis in two districts of Onchocerciasis Foci in Malawi, The Project named "MW9" shall be carried out in accordance with the proposal submitted in 0ctober20D6, reviewed and approved by the Management of ApOC. The Project shall be undertaken in two districts of Malawi (Thyolo and Mwanza) which are some of tfte currently known Onchocerciasis foci in the country. The plans of work and the time line as defined in the approved Project proposal may be modified by mutrral agreement of the parties taking into account the operating experience and needs of the Programme by the use of "Implementation letters" issued by "WHO/APOC". ?. 2. Oblieations of WHOiAPOC 2.l. Total Financial Obligation The total financial obligation of WHO/APOC under this amendment is Us$37,657(Thirty seven Thousand, six Hundred and fifty seven dollars US). The maximum obligation of APOC for any budget line item in this project is the amount indicated in the approved budget line, and the total obligation may not exceed the sum of these budget lines. The amended and approved budget for 2008, is attached herewith as Annex I 2.2. Audit of Accounts WHO will retain funds for financial audit of the Project and shall have the right to inspect the accounts at any time by way of its internal auditors, its external auditors or other auditors contracted for the purpose. The auditors shall have the right to inspect all transactions pertaining to the Projects between the Institution's bank account and actual payments for goods and services and to examine supporting documentation and relevant accounting entries in the Institution's books. In order to facilitate such reporting and audit, the Institution shall ensure that accurate and systematic accounts are kept in respect of the funded activities. 3. Contribution of the Institution For its part, the Institution, in agreement with its own Govemment, shall provide all the inputs required from the Govemment, the NGDO's and other partners, including all the staff necessary for the execution of the Project in accordance with this Agreement and as set forth in the Memorandum and in the approved Project proposal. 4. Period covered by this Agreement This Agreement covers a period of 12 months from l't January 2008 to 3l't December 2008. 5. Financialarrangements 5.l. The total amount of expenditure estimated by this Agreement is US$37,657(Thirty seven Thousand, six Hundred and fifty seven dollars US). Of the above, US$ 27,000 (twenty seven thousand dollars US) will be retained by WHO/APOC for the purchase of a vehicle and bicycles. 5.2. From the remaining amount of US$10,657 (ten thousand, six hundred and fifty seven dollars US), a first installment of US$ 5,329 (five thousand, three hundred and twenty nine dollars US) should have been paid to the Institution on signature of the Agreement by both parties, provided that all the other conditions precedent to disbursement have been met. However, given that the project has a balance of US $ 4,809 from lastyear, the project is to use this balance as first installment. 5.3. The subsequent installment(s) will be paid on request from the Institution accompanied by a staternent reconciling expenditure already made to the various budget lines. A request for further funding for a Project should be made when 80% ofthe previous advances have been spent. The payment of these replenishments will be subject to: (a) The reception of the statement mentioned above; (b) The regular transmission at the end of each month of a copy of the bank statement, reconeiled with a list of all cheques drawn on the account. Documents should be forwarded to the following address: t 3 The Programme Director Attention: The Budget and Finance Officer (BFO) WHO/APOC 01 BP 549 Ouagadougqu 0l Burkina Faso (c) A progress report six months after the funds have been received, and another after 12 months indicating the activities carried out and the amount spent against each budget line. One or both of these reports will be formally reviewed as a basis for extension of this Agreement for a further period or the signing of a subsequent Agreement for further funding. The reports should be forwarded to the following address: The Programme Director Attention: The Coordinator of the Office of the Director (COORD) WHO/APOC 0l BP 549 Ouagadoueou 0l Burkina Faso 5.4.The instalments shall be paid to the Institution, through the special National Onchocerciasis Task Force Bank Account, opened exclusively for WHO/APOC funds to be used on the project. 5.5. Any unliquidated balance at the end of the period covered by the current Agreement shall be paid back to WHO/APOC by the Institution or if specifically agreed, deducted later on from the amount of the sum WHO/APOC will pay in the framework of any possible subsequent Agreement. 6. Legal arrangemgnls It is understood that the work under this Agreement will be performed under the technical supervision of WHO/APOC but does not create any employer/employee relationship between WHO/APOC and the Institution. The Institution shall in that respect be solely responsible for the manner in which the work will be carried out. WHO/APOC shall not be responsible for any loss, accident, damage or injury suffered by the Institution or any person claiming under it, arising during or as a result of the execution of this work or in any manner whatsoever. Any dispute relating to the interpretation or execution of this Agreement shall, unless amicably settled, be subject to conciliation. In the event of failure of the latter, the dispute shall be settled by arbitration. The arbitration shall be conducted in accordance with the modalities to be agreed upon by the parties or, in the absence of agreement, with the Uncitral Arbitration Rules. The parties shall accept the arbitral award as final. If your Institution accepts this proposal, we should be grateful if you would see to the signing of allthe four copies of this Agreement by two persons authorized to sign on behalf of the Institution responsible for the execution of the work and return three copies to us. 4tu Dr. L.
