Box: 155 Yaound6 Cameroon i)',Ji, i/i,+i:5 Fax: (237) 222 69 l0 PROPOSAL OF TECHNICAL SERVICES - LETTER OF AGREEMENT 2OO7 COMMTINITY DIRE,CTED TREATMENT WITH IVERMECTIN (CDTI) PROJECT IN THE LITTORAL II PROYINCE OF CAMEROON (CMRLIIPIIEAR 7) For the purpose of developing and establishing sustainable Community Directed Treatnrent with Ivennectir-r (CDTI) for the control of onchocerciasis in Cameroon, The World Health Organization's African Programme for Onchocerciasis Control, hereinafter ref'erred to as "WHO/APOC" on the one hand, and The National Onchocerciasis Task Force, Ministry of Health, Cameroon, hereinafter referred tcr as "the Institution", on the other hand, HAVE AGREED AS FOLLOWS | ? |ARS ?00i 1. Work to be performed Further to the Memorandum for the African Programme for Onchocerciasis Control (APOC), PHASE ll 12002-2007) and the Phasing out Period (2008-2010) (the "Memorandum"), which was endorsed by the Governrnent of Cameroon, this Agreement is concluded for the purpose of developing and establishing sustainable community directed ivermectin distribution Project in the Littoral II Province of Cameroon The Project named "CMRLIIPT" shall be carned out in accordance with the proposal submrtted by the NOTF of Canreroon in December 2006, reviewed and approved by the Management of APOC. The Pro.;ect shall be undertaken in the Littoral II Province (Edea, Nkarn, Ngarnbe and Ndorn Drstncts) of Cameroon. The plans of work and the tirne line as defined in the approved Project proposal may be modified by mutual agreement of the parties taking into account the operating experience and needs of the Programme by the use of "lmplementation letters" issued by "WHO/APOC". | 2 ilAp$ rnn' cdelyBCc AP ocRD co o 22. Oblieations of WHO/APOC 2.\. Total Financial Obligation The total financial obligation of WHO/APOC, under this Agreement is US$ 37,010 (thirty seven and ten dollars US). The maximum obligation of APOC for any budget line item in this Agreement is the amount indrcated in the approved budget line, and the total obligation may not exceed the sum of these budget lines. The amended and approved budget for 2007 , is attached herewith as Annex I 2 2. Audit of accounts WHO will retain funds for financial audit of the Project and shall have the right to inspect the accounts at any tirne by way of its internal auditors, its external auditors or other auditors contracted for the purpose. The auditors shall have the right to inspect all transactions pertaining to the Projects between the Institution's bank account and actual payments for goods and services and to examine supporting documentation and relevant accounting entries in the Institution's books. In order to facilitate such reporting and audit, the Instinrtion shall ensure that accurate and systematic accounts are kept in respect of the funded activities. 3. Contribution of the Institution For its part, the Institution, in agreement with its own Government, shall provide all the inputs requrred fiorn the Government, the NGDO's and other partners, including all the staff necessary for the execution of the Project in accordance with this Agreement and as set forth in the Mernorandum and in the approved Project proposal. 4. Period coyered by this Agreement Tlrrs Agreement covers a period of 12 months from 1" January 2007 to 31" December 2007 5. Financial arrangements 5.1. The total amount of expenditure estimated by this Agreement is US$ 37,010 (thirty seven and ten clollars US). 5.2. Frorn the above-mentioned amount of US$ 37,010 (thirty seven and ten dollars US), a first instalnrent of US$ 25,901 (twenty five thousand, nine hundred and seven dollars US) will be paid to the lnstitution on signature of the Agreement by both parties, provided that all the other conditions precedent ro drsburserneut have been met. 5 3. The subsequent instalment(s) will be paid on request from the Institution accompanied by a staternent reconciling expenditures already made to the various budget lines. A request for further funding fbr a Project should be made when 80% of the previous advances have been spent. The payrnent of these replenishments will be subject to (a) The reception of the statement mentioned above; -J (b) The regular transmission at the end of each month of a copy of ftre bank stiatement, reconciled with a list of all cheques drawn on the account. One or both of these reports will be forrnally reviewed as a basis for extension of this Agreement for a further period or the signing of a subsequent Agreement for further funding. The reports should be forwarded to the lbllowing address. Tlie instalments shall be paid to the Institution, through the special National Onchocerciasis Task Force Bank Account, opened exclusively for WHO/APOC funds to be used on the project. 5 .5. Any unliquidated balance at the end of the period covered by the current Agreement shall be pard back to WHO/APOC by the Institution or if specifically agreed, deducted later on fronr the amount of the suur WHO/APOC wrll pay in the framework of any possible subsequent Agreement. 6. Legal arrangements It is understood that the work under this Agreement will be performed under the technical supervrsion of WHO/APOC but does not create any employer/employee relationship between WHO/APOC and the Institution. The Institution shall in that respect be solely responsible for the manner in which the work will be carned out. WHO/APOC shall not be responsible for any loss, accident, damage or injury suffered by the I nstrtution or any person claiming under it, arising during or as a result of the execution of this work or in any manner whatsoever. A ny dispute relating to the interpretation or execution of this Agreement shall, unless amicably settled, be subject to conciliation. In the event of failure of the latter, the dispute shall be settled by arbitration. The arbrtratiolt sliall be conducted in accordance with the modalities to be agreed upon by the parties or, in the absence of agreement, with the Uncitral Arbitration Rules. The parties shall accept the arbitral award as final If your Institution accepts this proposal, we should be grateful if you would see to the signing of all the fbur copies of this Agreement by two persons authorized to sign on behalf of the Institution responsible for the execution of the work and return three copies to us. 4Dr L.
