Equip.: US$300 oV/obf9vL93'o PROPOSAL OF TECHNICAL SERVI - LETTER OF AGREEMENT 2OO8 COMMUNITY DIRECTED TREATMENT WITH IYER]VIECTIN (CDTI) PROJECT IN IMO/ABIA STATES NIGERIA) (NGIM AB9) For the purpose of developing and establishing sustainable Community Dr:'t-'.-d-Treatment with Ivermectin (CDTD for the control of onchocerciasis in Nigeria, The World Health Organization's African Programn.. for Onchocerciasis Control, hereinafterrefened to a-s "WHO/APOC" on the one hand, and The National Onchocerciasis Task Force, Ministry of Health and Social Services, Nigeria, hereinafter referred to as "the Institution", on the other hand, HAVE AGREED AS FOLLOWS I Work to be Derformed Further to the Memorandum for the African Programme for Onchocerciasis Control (APOC), PHASE Il(2002-2007) and the Phasing out Period (2008-2010) (the "Memorandum"), which was endorsed bythe Govemment of Nigeria, this Agreement is concluded for the purpose of developing and establishing sustainable community directed ivermectin distribution Project in Imo and Abia States of Nigeria. The Project named "NGIM AB9" shall be carried out in accordance with the sustainability work plans, btrdgets and justifications notes submitted by the NOTF of Nigeria in July 2007, reviewed and approved by the Management of APOC. The Project shall be undertaken in 16 Local Govemment Areas in Imo State (Aboh Mbaise, Ehime Mbano, Ezinihitte, Ihitte Uboma, Isiala Mbano, Ikeduru, Ideato North, Ideato South, Mbaitoli, Nwangele, Ngor Okpala, Obowo, Okigwe, Onuimo, Orlu and Owerri North) and 8 Local Govemment Areas in Abia State(Isuikwuato, Umunneochi, Bende, Arochukwu, Ikwuano, Ohafia, Ukwa East and Ikwa West) of Nigeria. The plans of work and the time line as defined in the sustainability plan may be modified by mutuat agreement of the parties taking into account the operating experience and needs of the Programme by the use of, " f mplementation letters" i ssued by " WHO/APOC'. I J," 22. Oblieations of WHO/APOC 2.1. TotalFinancialOblieation The total financial obligation of WHO/APOC, underthis Agreement is US$6,700 (Six Thousand Seven Hundred US). This total financial obligation of WHO/APOC will be shared as follows: - Imo State CDTI Project: US$4,000 - Abia State CDTI Project: US$2,700 The maximum obligation of APOC for any budget line item in this Agreement is the amount indicated in the approved budget line, and the total obligation may not exceed the sum of these budget lines. The amended and approved budgets for the Ninth year - 2008, are attached herewith as Annexes la, lb and lc. 2.2. Capital Eouipment WHOiAPOC will retain funds proposed for the purchase of Capital Equipment and make the purchases through its central purchasing system. The Institution will be responsible for swift clearance of these goods on arrival. The equipment and supplies furnished by WHO under this agreement will be handed over to the Institution upon arrival at the port of entry in the country, against appropriate receipts. 2.3. Audit of accounts WHO will retain funds for financial audit of the Project and shall have the right to inspect the accounts at any time by way of its intemal auditors, its external auditors or other auditors contracted for the purpose. The auditors shall have the right to inspect all transactions pertaining to the Projects between the Institution's bank account and actual payments for goods and services and to examine supporting documentation and relevant accounting entries in the Institution's books. In order to facilitate such reporting and audit, the Institution shall ensure that accurate and systematic accounts are kept in respect of the funded activities. 3. Contribution of the Institution For its part, the Institution, in agreement with its own Government, shall provide all the inputs required from the Govemment, the NGDOs and other partners, including all the staff necessary for the execution of the Project in accordance with this Agreement and as set forth in the Memorandum and in the approved Project proposal. 4- Period covered bv this Agreement This Agreement covers a period of 12 months from lst January to 31st December 2008. 5. Financial arrangements 5.1. The total amount of expenditure estimated by this Agreement is US$6,700 (Six Thousand Seven Hundred Dollars US). Of the above, US$300 (Three Thousand dollars US) will be retained and used by \\fHO/APOC for the purchase of a UPS for the performance of the Project activities. The breakdown ofthe total amount to be retained is as follows: - Imo State CDTI Project: - Abia State CDTI Project: us$ 0 us$300 aJ 5.2. From the remaining amount of US$6,400 (Six Thousand Four Hundred Dollars US), a first instalment of US$3,200 (Three Thousand Two Hundred Dollars US) will be paid to the Institution as soon as possible after the signature of the Agreement by both parties, provided that all the other conditions precedent to disbursement have been met. The amount will be shared as follows: - Imo State CDTI Project: - Abia State CDTI Project: us$ 2000 us$ 1200 5.3. The subsequent instalment(s) will be paid on request from the Institution accompanied by a statement reconciling expenditure already made to the various budget lines. A request for further funding for a Project should be made when 80% of the previous advances have been spent. The payment of these replenishments will be subject to: (a) The reception of the statement mentioned above; (b) The regular transmission at the end of each month of a copy of the bank statement, reconciled with a list of all cheques drawn on the account. Documents should be forwarded to the following address: Programme Director Attention: Budget and Finance Officer/APOC WHO/APOC 0l BP 549 Ouagadoueou 0l Burkina Faso (c) A progress report six months after the funds have been received, and another after 12 months indicating the activities carried out and the amount spent against each budget line. One or both of these reports will be formally reviewed as a basis for extension of this Agreement for a further period or the signing of a subsequent Agreement for further funding. The instalments shall be paid to the Institution, through the special National Onchocerciasis Task Force Bank Account, opened exclusively for WHO/APOC funds to be used on the project. 5.5. Any unliquidated balance at the end of the period covered by the current Agreement shall be paid back to WHO/APOC by the Institution or if specifically agreed, deducted later on from the amount of the sum WHO/APOC will pay in the framework of any possible subsequent Agreement. 6. Legal arrangements It is understood that the work under this Agreement will be performed under the technical supervision of WF{O/APOC but does not create any employer/employee relationship between WHO/APOC and the Institution. The Institution shall in that respect be solely responsible for the manner in which the work will be carried out. WHO/APOC shall not be responsible for any loss, accident, damage or injury suffered by the Institution or any person claiming under it, arising during or as a result of the execution of this work or in any manner whatsoever. 4Any dispute relating to the interpretation or execution of this Agreement shall, unless amicably settled, be subject to conciliation. In the event of failure ofthe latter, the dispute shall be settled by arbitration. The arbitration shall be conducted in accordance with the modalities to be agreed upon by the parties or, in the absence of agreement, with the Uncitral Arbitration Rules. The parties shall accept the arbitral award as final. If your Institution accepts this proposal, we should be grateful ifyou would see to the signing of all the four copies of this Agreement by two persons authorized to sign on behalf of the Institution responsible for the execution of the work and return three copies to us.
