LETTER OF AGREEMENT 2OO8 COMMUTNITY DIRECIED TREATMENT WITH TYERMECTIN (CDTNpnorncruv rm r,rrronar, u pnovnvcr or caunnoox (cMrlLIPt)ffEAR 8) For the purpose of developing and establishing sustainable Community Directed Treatrrent with Ivermectin (CDTI) for the control of onchocerciasis in Camermn, The World Health Organization s African Programme for Onchocerciasis Control, hereinafter referred to as "WHO/APOC" on the one hand, and The National Onchocerciasis Task Force, Ministry of Health, Cmeroon, hereinafter referred to as "the Institution", on the other han4 HAVE AGREED AS FOLLOWS l. \ilork to be oer{ormed Furth€r to the Memorandum for the Africm Programme for Onchocerciasis Control (APOC), PHASE tr (2002-2007)and the Phasing out Period (2008-2010) (the "Memorandum"), which was endorsed bytbe Governmentof Cameroon, this Agreementis conchded forthe purpose ofdeveloping andestablishing sustainable comrrunity direct€d ivermectin distribution Project in the Linoral II Province of Cameroon The Project named 'CMRLIIPS" shall be canied out in acmrdance with the proposal submitted by the NOTF of Cameroon in August 2007, reviswed and approved by the Manage,rnent of APOC. The Project shall be und€rtak€,ll in the Littoral tr Province (Edeq Nkarn, Ngambe and Ndom Districts) of Cameroon. Theplans ofwork andthetime tine as defined inthe approved Projectproposal maybernodifiodbymnral agre€,m€,nt of the parties taking into account the operating experie,lrce and needs of the Progamme by the use of "lmple,mentation letters" issued by'WHO/APOC'. I2 2. Oblisations of WHO/APOC 2.1. Total Financial Obligation Thetotal financialobligation ofWHO/APOC, underthis Agreement is US$ 25,000 (twenty sirthousand dollars US). The m61<imum obligation of APOC for any budg* tine ite,m in this Agreement is the amornt indicated in the approved budget line, and the total obligation may not exceed the sum of these budget lines. The ame,nded and approved budget for 2@8 is attached herewith as Annex l. 2.2. Audit of accounts WHO will retain funds for financial audit of the Project and shall have the right to inspect the accounts at any time by way of its internal auditors, its fit€rnat auditors or other auditors contacted for the purpose. The auditors shall have the right to inspect all transactions pertaining to the Projects betrree,n the Institution's bank account and achal paym€nts for goods and seryices and to examine suppoting docrme,lrtation and relevant accognting entries in the Institution's books. In order to facilitarc such reporting md adit, the Instihrim shall eosure that accurate and syste,matic accounts are kept in respect of the fimded activities. 3. Contribution of the Institution Forits parL the Institution, in agree,ment with its own Governme,lrq shallprovide dltre iryUsrequirodftun the Governmenq the NGDO's and other partners, including all the staffnecessary for the execution of the Project in accordance with this Agreeme,nt and as set forth in the Memorandum and in tbe approved Project proposal. 4. Period covered bv this Asreement This Agreement covers a period of 12 months from ld January 2008 to 31d Deccmber 2008. 5. Financial arrangements 5.1. The total amount of expenditure estimated by this Agree,me,nt is US$ 26,000 (twcnty sir thousrnd dotlers US). 5.2. From the above-mentioned mormt of US$ 2li,W (twenty sir thousand dollars US), a first installment of US$ 13200 (eighteen thousand and trryo hrmdrcd dollars US) will be paid to the Institution on signature of the Agrecment by both parties, provided that all the other conditions precede,nt to disbursement have bemmet. 5.3. The subsequent installment(s) will be paid on reque,st from the Institution accompanied by a Satmt reconciling expeiaditures already made to the various budget lines. A request for firther fimding fa a Prrojed shorld be made when 80% ofthe prwious advances have beein spent. The payment of these re,plenishments will be subject to: (a) The reception of the state,me,nt me,lrtioned above; (b) Theregulartrmsmission atthe endofeachmonth of acopyofthebank state,ment, recmiledwifralist of all cheques drawn on the acmunt. One or both of these reports will be formally reviewed as a basis for exte,nsion of this Agree,memt for a further period or the siening of a suUseque,nt egre€,m€ri for firther frnding. Anymliquidatedbalanceatthee,ndoftheperiodcoveredbythecurrentAgreemeirtstmllbepaidback to WHO/APOC by the InstiUrtion on if specffically agexy'', deducted later on from the amount of the st'm WHO/APOC will pay in the framework of any possible subsequeirt Agreeme,nt. 6. Legal arrangements It is rmderstood that the wo,rk uxd€r this dgreement will be performed rmder the technical supervision of WHO/APOC btrt does not create ary employo/employee relationship between WHO/APOC md the Instit$im TIr Institution shall in that respect be solely responsible for the mann€r in which the work will be carried out. WHO/APOC shall not be responsible for any loss, acciden! damage or injury suffered by the Instihtrion c any person claiming urder it, arising furing or as a result of the orccution of this work or in any marrn€r $fiatsoev€r. Any dispute relating to the interpretation or execution of this Agreemeirt shall, unless micsbly settle{ be subject to conciliation. In the eve,nt of failrre ofthe lafer, the dispute shall be settled by arbitration. The arbitratio shall be conducted in accordance with the modalities to be agreed upon by the parties or, in the abse,nce of agre€,m€nt, with the Uncitral Arbitration Rules. The parties 5hall accept the arbitral awrd as final.
