The Projcct named "SDS55" shall be carried out in accordance u'ith the proposal submitted b1'the SSOTF of Sudan in 17 February 2002 t'ith amendments on 6 June 2002, reviewed and approved by' SrHO/APOC in June 2002 after appropriate further amendments by tirc APOC Management. l}e fifth year activities of the Projrct shall be undertaken in Southern Sector of Sudan. t 2The plans of work and the time line as defined in the approved Project proposal may be modified by mu.tual agreement of the parties taking into account the operating experience and needs of the Prograrnme by the use of "[mplementation letters" issued by "WHO/APOC". 2. Obligations of WHO/APOC 2.1- TotalFinancialObligation The total financial obligation of WHO/APOC, under this Agreement is US$ 277,087 (two hundred and seventy seven thousand and eighty seven dollars US). The maximum obligation of APOC for any budget line item in this Agreement is the amount indicated in the approved budget line, and the total obligation may not exceedjhe sum of tlese budget lines. The amended and approved budget for 2002. is attached herewith as Annex I 2.2. Audit of accounts WHO will retain funds for financial audit of the Project and shall have the right to inspect the accounts at any time by way of its internal auditors, its external auditors or other auditors contacted for the purpose. The auditors shall have the right to inspect all tansactions pertaining to the Projects between the Institution's bank account and actual payments for goods and services and to examine supporting documentation and relevant accounting entries in the krstitution's books. In order to facilitate such reporting and audig the lnstitution shall ensure that accurate and systematic accounts are kept in respect of the funded activities. 3. Contribution of the Institution For is Part the lnstitution, in agreement with its own Government, shall prr:vide all the inputs required from the Governmen! the NGDO's and other partners, including all the staffnecessary for the execution ofthe Project in accordance with this Agreement and as set forth in the Memorandum and in the approved Project proposal. Period covered by this Agreement This Agreement covers a period of l2 months from Ist July 2002to 30s June 2003 Financial arra ngements 5.l. The total amount of expenditure estimated by this Agreement is USS 2'7'l,OB'l (two hundred and seventy seven thousand and eighty seven dollars US). Of the above, US$ 72,153 (seventy nvo thouiand one hundred and fifty three dollars US) u'ill be retained ard used by \\rHO/APOC for the purchase of vehicle and other equipment needed for tle Jrerformance of the project activities and the direct payment of the NGDO's overheads according to thc a$eed standards of the Joint Action Forum. 4. 5. J5.2. From the remaining amounts of US$ 204,934 (two hundred and four thousand, nine hundred and thirty four dollars US), a frst instatment of US$ 120,000 (one hundred and twenty thousand dollars US) will be paid to the Institution as soon as possible after the signature of the Agreement by both parties, provided that all the other conditions precedent to disbursement have been met. 5.3 . The subsequent instalnen(s) will be paid on request from the lnstitution accompanied by a statement reconciling expenditure already made to the various budget lines. A request for further funding for a Project should be made when 80% of the previous advances have been spent. The payment of these replenishments will be subject to (a) The reception of the statement mentioned above; (b)Theregulartransmission attheendofeach month ofacopy ofthebankstatement, reconciled with a list of all cheques drawn on the account. This report will be formally reviewed as a basis for extension ofthis Agreement for a further perid or the sigring of a subsequent Agreement for further funding. Theinstalmentsshallbepaidtothelnstitution,throughthespecialBankAccoun!openedinNairobi by the NGDO parher (HNI). This special case is to take into account the current civil unrest situation prevailing in Sudan. 5.5. Any unliquidated balance at the end of the period covered by the current Agreement shall be paid back to WHO/APOC by the tnstitution or if specifically agreed, deducted later on from the amount of the sum \\1-IO/APOC will pay in the framework of any possible subsequent Agreement. 6. Legal arrangements It is understoodthatthc *'ork underthis Agrecment willbc performed underthe technical supen,ision of \\'llO/APOC but docs not create any employer/emplol'ec relationship between WIIO/APCrc and the Instirution. The Institution shall in that respect be solcly responsible for thc manner in u'hich the work will bc carried out. WHO/APOC shall not be responsible forany loss. acciden! damage or injury suffered bythe Institution or anv person claiming under it, arising during or as a result of tlre execution of this work or in any manner whatsoever. 4Any dispute relating to the interpretation or execution ofthis Agreement shall, r'nls55 amicably settled, be subject to conciliation. ln the event of failure of the latter, the dispute shalt be settled by arbitration. The arbitration shallbe conducted in accordancewiththe modalities to be agreeduponbythe parties or, intheabsence of agreernenL with the Uncitral Arbitration Rules. The parties shall accept the arbitral award as final.
