National Onchocercrasis Task Force (NOTF) Mrnrstry of Health and Socral Servrces Department of Primary Health Care Federal Secretariat Phase 2 Lagos, Nrgena PROPOSAL OF TECHMCAL SERVICES - LETTER OF AGREEMENT 2OO7 COMMUNITY DIRECTED TREATMENT WITH IVERMECTIN (CDTI) PROJECT IN BAUCHI STATE (NIGERIA) (NGBAUs) For the purpose of developing and establishing sustainable Community Directed Treatment wrth Ivermectm (CDTI) for the control of onchocerciasis in Nigeria, The World Health Organization's African Programme for Onchocerciasis Control, herernafter referred to as "WHO/APOC" on the one hand, and The National Onchocercrasis Task Force, Ministry of Health, and Socral Servrces, Nrgeria, hereinafter refened to as "the Institution", on the other hand, HAVE AGREED AS FOLLOWS 1. Work to be Derformed Further to the Memorandum for the African Programme for Onchocerciasrs Control (APOC), PHASE I, 1996-2001( the "Memorandum"), which was signed by the Govemment ofNrgena on 5 September 1996, thrs Agreement is concluded for the purpose of developing and establishing sustainable communify directed rvermectin distnbution Project rn Bauchi State GDTI project of Nigeria. The Project named "NGBAU5" shall be carried out in accordance with the proposal submrtted by the NOTF of Nigeria in october 2006, reviewed and approved by the Management of Apoc. The Project shall be undertaken in thirteen Local Govemment Areas (Ningr, War1i, Ndarazo, Alkaleri, Krrfi, Dass, Tafawa Balewa, Toro, Shira, Bauchi, Katagum, Ganjuwa and Misau) in the Bauchi State of Nrgena. The plans of work as defined in the approved proposal may be modified by mutual agreement of the parties taklng into account the operating experience and needs of the Programme by the use of "Implementation letters" issued by "WHO/APOC". 2. Oblieations of WHO/APOC 0 I JU|N 200i 2.1. Total Financral Obhqation The total financial obligation of WHO/APOC, under this Agreement is US$ 24,400 (Twenty Four Thousand, Four Hundred dollars US). The maximum obligation of APOC for any budget line item in this Agreement is the amount indicated in the approved budget line, and the total obligation may not exceed the sum of these budget lines. Caprtal Equipment WHO/APOC will retain funds proposed for the purchase of Capital Equipment and make the purchases through tts central purchasing system. The Institution will be responsible for swift clearance of these goods on arnval. The equtpment and supphes furnished by WHO under this agreement wrll be handed over to the Institutron upon an-ival at the port of entry in the country, against appropriate recerpts. 2.3. Audrt of accounts \'VHO wtll retain funds for financial audit of the Project and shall have the right to inspect the accounts at any tlme by way of its rntemal auditors, its external auditors or other auditors contracted for the purpose. The audttors shall have the right to inspect all transactions pertaining to the Projects between the Institution's bank account and actual payments for goods and services and to examine supporting documentation and relevant accountrng entnes rn the Institutton's books. ln order to facilitate such reporting and audit, the Instrhrtion shall ensure that accurate and systematic accounts are kept in respect of the funded activrties. 3. Contribution o the Institution For tts part, the Instttution, in agreement with its own Govemment, shall provrde all the inputs requred llom the Govemment, the NGDO's and other partners, including all the staff necessary for the execution of the Prolect rn accordance wrth thts Agreement and as set forth in the Memorandum and in the approved Project proposal. 4. Period covered bv this A reement Thrs Agreement covers a period of 10 months from l't January 2007 to 3l't December 2007 5. Financial arrans ements 5.1. The total amount of expenditure estimated by this Agreement is US$ 24,400 (Twenty Four Thousand, Four Hundred dollars US)., a first installment of US$ 12,200 (Twelve Thousand Two Hundred US dollars) wrll be paid to the Institution as soon as possible after the signature of the Agreement by both parties, provrded that all the condrtrons precedent to disbursement have been met. 5.3. The subsequent instalment(s) will be paid on request from the Institution accompanred by a statement reconctling expenditures already made to the various budget lines. A request for further funding for a Prolect should be made when 80% ofthe previous advances have been spent. The payment of these replenishments will be subject to: (a) The reception of the statement mentioned above; (b) The regular transmission at the end of each month of a copy of the bank statement, reconciled with a list of all cheques drawn on the account. One or both of these reports wrll be formally reviewed as a basis for extension of thrs Agreement for a further penod or the signrng of a subsequent Agreement for further funding. The tnstalments shall be paid to the Institutron, through the special National Onchocercrasis Task Force Bank Account, opened exclusively for WHO/APOC funds to be used on the project. 5.5. Any unliquidated balance at the end of the period covered by the current Agreement shall be paid back to WHO/APOC by the Institution or if specifically agreed, deducted later on from the amount of the sum wHo/APoc wili pay in the framework of any possible subsequent Agreement. 5. Leeal arran gements It rs understood that the work under this Agreement will be performed under the technical supervisron of WHO/APOC but does not create any employer/employee relationshrp between WHO/APOC and the lnshtuhon. The Inshtutton shall in that respect be solely responsible for the manner in which the work wrll be carried out. WHO/APOC shall not be responsible for any loss, accident, damage or injury suffered by the Institutron or any person clatmtng under tt, arising durrng or as a result of the execution of this work or in any manner whatsoever. Any drspute relatrng to the interpretation or execution of this Agreement shall, unless amicably settled, be sublect to conctltatton. In the event of failure of the latter, the dispute shall be settled by arbitration. The arbitrahon shall be conducted in accordance with the modalities to be agreed upon by the parties or, in the absence of agreement, with the Uncitral Arbitration Rules. The parties shall accept the arbitral award as final. If your Institutron accepts this proposal, we should be grateful if you would see to the signing of all the four copres of thrs Agreement by two persons authorized to sign on behalf of the Institutron responsible for the execution of the work and retum the three original copies to us.
