Work to be performed Further to the Memorandum for the African Programme for Onchocercrasis Control (APOC), PHASE II (2002-2007) and the Phasing out Period (2008-20 l0) (the "Memorandum"), which was signed by the Government of Cameroon on l6 December 2001, this Agreement is concluded for the purpose of developrng and establishrng sustainable community directed ivermectin distnbution Project in the Centre 2 Province of Car.neroon T'he Pro;ect named "CMRC2-5" shall be carried out in accordance with the proposal submttted by the NOTF of Cameroon in December 2006, reviewed and approved by the Management of APOC. The Project shall be undertaken in the 23 health areas (Mbanjock, Lembe, Nanga Eboko, Mrnta, Ndlombe, Nsem, Mbargue, Bissaga, Mebolo, Nkoteng, Mvomzock, Nguen, Bibey, Wall, Metep, Emtse, Belabo' Bombr, Mbrtom, Diang, Ndeng-Ndeng, Mbethen, Ndemba 1) in Haute Sanaga/Belabo area of Cameroon. ,2 [Ang ?nn? Total Financial Obhsatron The total financral obligation of WHO/APOC, under thrs Agreement is US$ 37,521 (thirty seven thousand, five hundred and twenty one US dollars). The maximum obligation of APOC for any budget lrne Itell ln thrs Agreement rs the amount rndrcated rn the approved budget line, and the total oblrgatron may not exceed the sum of these budget lines. The amended and approved budget for 200'7, rs attached herewrth as Annex L 2.2. Audrt of accounts WHO wrll retarn funds for financral audit of the Prolect and shall have the nght to rnspect the accounts at at-ly tlll']e by way of rts rnternal audrtors, rts external audttors or other audttors contracted for the pr-rrpose. The audrtors shall have the rrght to rnspect all transactrons pertaining to the Prolects between the Instrtutron's bank account and actual payments for goods and servrces and to examine supportlng documentatton and relevant accountlng entrles rn the Institution's books. In order to facilitate such reporttng and audit, the Institutron shall ensure that accurate and systematic accounts are kept in respect ofthe funded activitres. 3. Contribution of the Institution For rts part, the Instrtutron, in agreement with its own Government, shall provtde all the rnputs requtred lronr the Gover nment, the NGDO and other partners, rncluding all the staff necessary for the executlon of the Pro..;ect rn accordance wrth this Agreement and as set forth in the Memorandum and in the approved Pro;ect proposal. 4. Period coYered bv this Asreement Tlrrs Agreement covers a period of l2 months from lst January 2001 to 3lst December 2007 5. Financial arranqements 5.1. The total amount of expenditure estimated by this Agreement is US$ 37,521 (thirty seven thousand, five hundred and twenty one US dollars). Of the above, US$ 2,618 (two thousand six hundred and eighteen US dollars) will be retained and used by WHO/APOC for the direct payment of the NGDO's overheads according to the agreed standards of the Joint Action Forum. 5.2. From the remainingamountsof US$34,903 (thirtyfourthousandnrnehundredandthreeUS dollars), a first installment of IJS$ 24,432 (twenty four thousand, four hundred and thirty two US dollars) w ill be paid to the Institution as soon as possible after the signature of the Agreement by both parties, provided that all the other conditions precedent to disbursement have been met. J5.3 The subsequent insralment(s) will be paid on request from the Institution accourpanied by a starep-Ienr reconciling expenditure already made to the various budget lines. A request for further funding for a Pro.;ect shoulcl be rnade when 80% of the previous advances have been spent. The payment of these replenishments will be subject to: (a) The reception of the statement mentioned above; (b) The regular transmission at the end of each month of a copy of the bank statement, reconciled with a list of all cheques drawn on the account. One or both of these reporrs will be fonnally reviewed as a basis for extension of this Agreement for a further period or the signing of a subsequent Agreement for further funding. The instalments shall be paid to the Institution, through the special NationalOnchocerciasrs Task Force Bank Account, opened exclusively for WHO/APOC funds to be used on the project. 5.5 Any unliquidated balance at the end of the period covered by the current Agreement shall be paid back to WHO/APOC by the Institution or if specifically agreed, deducted later on from the amount of the surn wHO/APOC will pay in the framework of any possible subsequent Agreement. 6. Legal arrangements It is understood that the work under this Agreement will be performed under the technical supervision of WHO/APOC but does not create any employer/employee relationship between WHO/APOC and the Instrtution. The Institution shall in that respect be solely responsible for the manner in which the work will be car ried out. WHO/APOC shall not be responsible for any loss, accident, damage or injury suffered by the Institution or any person claiming under it, arising during or as a result of the execution of this work or in any rlanner whatsoever. 4Any dispute relating to the interpretation or execution of ttris Agreement shall, unless amicably settled, be subject to conciliation. In the event of failure of the latter, the dispute shall be settled by arbitration. The arbrrrarron shall be conducted in accordance with the modalities to be agreed upon by the parties or, in the absence of agreement, with the Uncitral Arbitration Rules.
