'l'he Pro.iect shall be undertaken in 33 districts of five counties (Grand Gedeh Coultty, Gralcl Kr.u ('ourrrv. Maryland County, River Gee County and Sinoe County) in Liberia. The plans of work and the time line as defined in the approved Project proposal may be rnoclified by rururual agreement of the parties taking into account the operating experience and needs of the Progranrrnc hy lhc usc of "lmplernentation letters" issued by "WHO/APOC". Total Financial Oblisation The total financial obligation of WHO/APOC, under this Agreement is US$95,699 (ninety live t5orrsand six hundred and ninety nine dollars US). The maximum obligation of APOC for any hudget linc rtctrr iu any pr<r.iect is the atnount indicated in the approved budget line, and the total obligatiurr tnay llor crcccrl rlre surr.r of these budget lines for any single Project or group of Projects. 'l'he anrended and approved second year budget for 2007 (summary and details) is attached herewitlr irs ,,\ ttttcx I ) 2 Capital Equipment \\'LIO/APOC will retain tunds ploposed for the purchase of Capital Equiprnenr aud prakc tltc prrre lrascs thlouglr its central purchasing system. Tlre equipnrent and supplies furnished by WHO under this agreement will be handed over ts t5e Insriturion upon arrival at the port of entry in the country, against appropriate receipts. 2.3. Audit of accounts \\/FIO u,ill retailt futtds for financial audit of the Project and shall have the right to inspect rhe aocourrts i.r( lnv riure bY rvay of its internal auditors, its external auditors or other auditors contracted titr the purposc 'l'he uuclitors shall liave the right to inspect alltransactions pertaining to the Projects between the Instituti6n's hlrrk account and actual payments for goods and services and to examine supporting docurnentation and rcl*'ant accounting entries in the Institution's books. In order to facilitate such reporting antl audit, rlre Irrsrrrution shall ensure that accurate and systematic accounts are kept in respect of the fundecl activities. 3 Contribution of the Institution I'or its part, the Institution, in agreement with its own Government, shall provide all the inputs rcquircd li'onr tlte Governtneut, tlte NGDO's and other partners, including all the staff necessary filr tlre execution ol'the Project in accordance with this Agreement and as set forth in the Memorandum and iD the Irllprovcd Pro.iect proposal. {. Period covered bv this Agreement -l'hrs Agreenlent covers a period of l2 rnonths from l't January to 31" December 2007 5. Financial arrangements -5 I The total amount of expenditure estimated by this Agreernent is US$95,699 (ninety live thousand six huudred and ninety nine dollars US). Of the above, US$ US$ 21,060 (twenty one tSousaptl rurrtl sixtv dollars US) will be retained and used by WHO/APOC for the purchase of motorcycles ancl helrnets rrccrlctl tirr the perfbrtnance of the Project activities. 5.2 Frorn the remaining amounts of US$ 74,639 (seventy four thousand, six hundrecl and thirty rkrlllrs US). a first instahnent of US$ 37,000 (thirty seven thousand dollars US) will be paicl to the Instirurisn its s(x)n as possible after the signature of the Agreement by both parties, provided that all the other cond itiens lrrcccclcnt to disbursetnent have been met. 35.j.'f5e subsequenr instalment(s) will be paid on request from the lnstitution acconrpanred by a slu(cplclr recrtlciliug expenditure already made to the various budget lines. A request tbr further funding tirr ir [)ro;ccr shoulci be tnade when 80% of the previous advances have been spent. The paymeut of these replenishrnents will be subject to: (a) The reception of the statelnent mentioned above; (b) The regular transmissioll at the end of each month of a copy of the bank starcnrcn(. rccorrcrlcd rvirh a list of all cheques drawn on the account. Any dispute relating to the interpretation or execution of this Agreement shall, unless amicably settled, 5c sub.lect to conciliation. In the event of failure of the latter, the dispute shall be settled by arbitration.
