Box: 155 Yaounde Cameroon Fax: (237)222 69 l0 PROPOSAL OF TECHMCAL SERVICES - I.E,TTER OF AGREEMENT 2OO8 COMMUNITY DIRECITD TREATMENT WITH TI/ERMECTIN (CDTN PROJECT IN THE FAR NORTH PROVINCE OF CAIVIEROON IYEAR 4) (CIUREN4) For the purpose of developing and estabtishing sustainable Community Directed Treatrrent with Iverrrectin (CDTI) for the control of onchocerciasis in Cameroon, The World Health Organization's African Programme for Onchocerciasis Control, hereinafter referred to as "WHO/APOC" on the one hand, and The National Onchocerciasis Task Force, Ministry of Health, Cameroon, hereinafter ref€rred to as "the lnstitution", on the other han4 HAVE AGREED AS FOLLOWS 1. Work to be oerformed Further to the Memorandum for the African Programme for Onchocerciasis Control (APOC), PHASE II (2002-2007) and the Phasing out Period (2008-20 l0), the "Me,msandum", which was sigped by th€ Govermt of Cameroon, this Agree,ment is concluded for the ptrrpose of developing and establishing sustainable community direct€d ivermectin distribution Project in the FarNorth Province of Cameroon The Project named 'CMRNEN4' shall be canied out in accordance with the proposal submitted by t.he NOTF of Cameroun in August 2007, reviewed and ryproved by the Manage,me,nt of APOC. The Project shall be undertaken in 3 health districts of the Far North Province (Mokolo, Roua md Koza) of Cameroon Theplans ofwork andthetime line as defined in the approved Project proposal maybe nndifiedbymdlal agreem€Nrt oithe parties taking into account the operating orperience and needs of the Programme by the use of 'Irnple,mentation lett€rs" issued b,r'WHO/APOC". a,, 2. Oblieations of WHO/APOC 2.1. Total Financial Obligation The total financial obligation of WHO/APOC, under this Agreement is US $ 47,X9 (Forty Seven Thousand Five Hundred and Sirty Nine US). The maximum obligation ofAPOC for any budget line item inthis Agree,ment is the amount indicated in the approved budget line, and the total obligation may not exceed the sum of these budget lines. The amended and approved budget for the forth year - 2008, is attached herewith as Annex l. 2.2. Audit of accounts WHO will retain firnds for financial audit of the Project and shall have the right to inspect tlre accounts at any time by way of its intemal auditors, its external auditors or other auditors contracted for the purpose. The auditors shall have the right to inspect all transactions p€rtaining to the Projects between the Institution s bank account and actual pEments for goods and services and to examine supporting documentation and relevant accounting entries in the Institution's books. ln order to facilitate such reporting md adit, fte hstiUfim shall ensure that accurate and systematic accounts are kept in respect of the funded activities. 3. Contribution of the Institution For iS pmt, the Institutioq in agree,ment with its oum Governmen! strall provide all tlrc iryrts requir€d from the Governme, t, the NGDO's and other parhrers, including all the staffnece,ssary for the oiecution ofthe hoject in accordance with this Agreement and as set forth in the Me,morandum and in the approvod Project proposal. 4. Period covered bv this Asreement This Agreeinent covers a period of 12 months from lst Januery 2008 to 31 Ilecember 2fi)8. 5. Financial arransements 5.1. The total amount of expenditure estimated in this Agree,ment is US $ 47569 (Forty Seven Thousand Five Hundred and Sirty Nine US). Of the above, US$ 3,319 (three thousand three hundred and nineteeir dollars US) will be retained and used by WHO/APOC fq the direct pErrrent of the NGDO's overheads according to the agreed standards of the Joint Action Forum. 5 .2. From the remaining amormt of US $ 44,250 (forly four thousmd two hundred md fifty dollars US), a first instalment of US$ 30,975 (thirty thousand nine hundred and seventy five dollars US) would be paid to the institution as soon as possible after the signature of the I*tter of Agreemeirt by both parties, provided that all other conditions precedent to disburse,ment have beeir met. 5.3. The subseque,nt instalment(s) will be paid on request from the Institution accompanied by a stat€,m€,nt rccolsiling orpenditures akeady made to the various budget lines. A request for firther funding for a Project should be made when 80% of the previous advances have been spe,nt. The payment of these replenishments will be subject to: 3(a) The reception of the state,ment mentioned above; (b) The regular fiansmission at the e,nd of each month of a mpy of the baok state,ment, recmcilod with a list of all cheques drawn on the account. One or both of these reports will be formally reviewed as a basis for extension of this Agreernent for a fi.nther period or the signing of a subseque,lrt Agreement for further fimding. Any unliquidated balance at the eird of the period covered by the curreirt Agreement shall be paid bacJ< to WHO/APOC by the InstiUrtion or if qpecificaUy agreed, deducted later on frorn the amormt of the snrn WHO/APOC will pay in the framework of any possible subseque,nt Agree'me,nt. 6. Legal arransements It is rmderstood that the wo,rk under this Agreememt will be performed under the technicd supervision of WHO/APOC but does not create ary e,mployer/e,mployee relationship b€fiileenWHO/APOC ad the hsf'utim. The hrstitution shall in that raspect be solely responsible for the mann€r in which the work will be carried out. WHO/APOC shall not be responsible for any loss, accident, darnage or injury suffered by the In$iurim c any person claiming rmder it, arising during or as a result of the execution of this work or in my marrn€r uihatsofl/er. Any dispute relating to the interpretation or execution ofthis Agree,ment shalt unless amicably settld be subject to conciliation In the event of failwe of the latter, the dispute shall be settled by arbitration The arbitratim shall be conducted in accordance with the modalities to be agreed upon by the parties or, in the absence of agre€,m€nt, with the Uncitral Arbitration Rules. The parties shall accept the arbitral award as final.
