Washington, D.C. 20008 Dear Sir: Credit No. 2771-TA (Financial Institutions Development Project) Section 3. 05 of the Development Credit Agreement We refer to Section 3.05 of the Development Credit Agreement of even date herewith between United Republic of Tanzania and International Development Association and to the terms "offer for sale" and "identify a joint venture partner" used in said Section. For the purposes of the above-mentioned Agreement: (a) the term "offer for sale" means that the Borrower has taken the following actions: (i) carried out a valuation of the branch network concerned; (ii) prepared a prospectus or dossier; and (iii) solicited offers directly or through advertisements in appropriate newspapers; and (b) the term "identify a joint venture partner" means that the Borrower has taken the following actions: (i) prepared a prospectus or dossier; (ii) solicited offers directly or through advertisements; and (iii) evaluated the offers.
