PROPOSAL OF TECHNICAL SERVICES - LETTER OF AGREEMENT 2OO5 FOCAL VECTOR ELIMINATION PROJECT IN ITWARA FOCUS IN UGANDA (uGsvE) For the purpose of eliminating Simulium neavei, vector of onchocerciasis in the Itwara fbcus ot'Kabarole district rn the Western Region of Uganda, The World Health Organrzation's African Programme for Onchocerciasis Control. hereinalier ref-ened to as "WHO/APOC" on the one hand, and The National Onchocerciasis Task Force, Ministry of Health, Uganda. hereinafter refered to as "the Institution", on the other hand, HAVE AGREED AS FOLLOWS 1. Work to be performed Further to the Memorandum for the African Programme for Onchocerciasis Control (APOC), PHASE II(2002-2007) andthe Phasing out Period (2008-2010) (the "Memorandum"), which was endorsed by the Government of Uganda, this Agreement is concluded for the purpose of vector (Simulium neavei) elin-rination and post eliminatron monitoring Project for the control of onchocerciasis in Uganda. The Project named (UG5VE) shall be carried out in accordance with the proposal submitted by rhe NOTF of Uganda in February 2005, reviewed and approved by the Management of APOC. The Prolect shall be undertaken in the Itwara Forest Focus of Kabarole district in the Western Region ot' Uganda. The plans of work and the time line as defined in the approved Project proposal may be moditied by rttutual agreement of the parties taking into account the operating experience and needs of the Programme by the use of "Implententatlon letters" issued by "WHO/APOC". 22.1. Total Frnancial Obligation The total financial obligation of WHO/APOC, under this Agreement rs US$ 6,992 (Srx thousand. nine hundred and ntnety two dollars US). The maximum obligatron of APOC for any budget line item rn this Agreernent is the amount indicated in the approved budget line, and the total obligatron may not exceed the sun-r of these budget lines. The approved budget for 2005, is attached herewith as Annex I 2.2. Audit of accounts WHO/APOC shall have the right to inspect the accounts at any time by way of rts intemal auditors. rts extemal auditors or other auditors contracted for the purpose. The auditors shall have the right to inspect all transactions pertaining to the Projects between the Instifution's bank account and actual payments for goods and services and to examine supporting documentation and relevant accounting entries in the Institution's books. In order to facilitate such reporting and audit, the Instifution shall ensure that accurate and systematic accounts are kept in respect of the funded activities. 3.C of the Institution For its part, the Institution, in agreement with its own Government, shall provide all the inputs required from the Government, the NGDOs and other partners, including all the staff necessary foi the execution of the Project in accordance with this Agreement and as set fourth in the Memorandum and in the approved Project proposal. 4. Period coyered bv this This Agreement covers a period of 12 months from lst April2005 to 3lst March 2006 5. Financial arrangements 5. I . The total amount of expenditure estimated by this Agreement is US$ 6,992 (Six thousand. nine hundred and ninety two dollars US). 5 .2. Frorn the above-mentioned amounts of US$ 6,992 (Six thousand, nine hundred and ninety two dollars US), a first installment of US$ 5,000 (Five thousand dollars US) will be paid ro rhe Insritution on signature of the Agreement by both parties, provided that all the other conditions precedent to disbursement have been met. 5.3. The subsequent instalment(s) will be paid on request from the Instin:tion accompanied by a statelnent reconciling expenditures already made to the various budget lines. A request for further funding for a Project should be made when 80% of the previous advances have been spent. The payment of these replenishments will be subject to: (a) The reception of the statement mentioned above; 2. Obligations of WHO/APOC f1J (b) The regular transmission at the end of each month of a copy of the bank statement, reconciled with a list of all cheques drawn on the account. One or both of these reports will be formally reviewed as a basis for extension of this Agreement for a further period or the signing of a subsequent Agreement for further funding. The instalments shall be paid to the Instinrtion, through the special National Onchocerciasis Task Force Bank Account, opened exclusively for WHO/APOC funds to be used on the project. 5.5. Any unliquidated balance at the end of the period covered by the current Agreement shall be paid back to WHO/APOC by the Institution or if specifically agreed, deducted later on from the amounr of rhe sum WHO/APOC will pay in the framework of any possible subsequent Agreement. 6. Legal arrangements It is understood that the work under this Agreement will be performed under the technical supervision of WHO/APOC but does not create any employer/employee relationship between WHO/APOC and the Institution. The Institution shall in that respect be solely responsible for the manner in which the work will be carried out. WHO/APOC shall not be responsible for any loss, accident, damage or injury suffered by the Institution or any person claiming under it, arising during or as a result of the execution of this work or in any [ranner whatsoever. Any dispute relating to the interpretation or execution of this Agreement shall, unless arricably setrled, be subject to conciliation. In the event of failure of the latter, the dispute shall be settled by arbitration. The arbitration shall be conducted in accordance with the modalities to be agreed upon by the parties or, in the absence of agreement, with the Uncitral Arbitration Rules. The parties shall accept the arbitral award as hnal.
