Work to be performed Further to the Memorandum for the Afncan Programme for Onchocercrasrs Control (APOC). PHASE ll (2002-2001) and the Phasrng outperiod (2008-2010) the "Memorandum"), whrch was endorsed by the Govemment of Ntgena, this Agreement is concluded for the purpose of developrng and estabhshrng sustarnable communrty dtrected ivermectrn distribution Project in Edo and Delta States CDTI Pro.lect of Nrgena. The Prolect named "NGED6" shall be carried out in accordance wrth the proposal submrtted by the NOTF of Nrgena tn August 2005, reviewed and approved by the Management of APOC. The Pro.lect shall be undertaken in twelve Local Government Areas rn Edo State (Akok Edo. Etsako East, Etsalp West, Esan West, Esan Northeast, Esan Southeast, Owan West, Ovia Southwest, Ovia Northeast. Uhunmwode, Orhromwon and Igueben) and nine Local Government Areas in Delta State (Anrocha North, Aniocha South, Oshrmili North, Oshimili South, Ika Northeast, Ika South, Ndokwa West, Ukwanr and Ndokwa [:ast) of Nrgena. Audit of accounts WHO rvrll retarn funds for frnancial audit of the Project and shall have the nght to rnspect the accounts at any trme by rvay of rts rnternal auditors, its external auditors or other auditors contracted for the purpose. Thc audrtors shall have the nght to lnspect all transactions pertarning to the Pro.;ects between the Institutron's bank account and actual payments for goods and services and to examine supportlng documentatron and relevant aocoLurturg entnes rn the Instrtution's books. In order to facilrtate such reportrng and audrt. the lustrtlrtron shall ensllre that accurate and systematlc accounts are kept in respect of the funded actrvrtres. 3. Contribution of the Institution For its part, the lnstitution, in agreement with its own Government, shall provide all the rnpurs requrred from the Government, the NGDO's and other partners, including all the staff necessary fbr the execution of the Project in accordance with this Agreement and as set forth in the Mernorandum and in the approved Project proposal. 1. Period covered by this Agreement Thrs Agreement covers a penod of 12 rnonths from 1" January 2006 to 3l't December 2006 5. Financial arrangements 5.1. Thetotal amountof expendrtureestimatedbythrsAgreementisUS$ 87,033 (eightyseventhousand, thrrty three dollars US). Of the above, US$ 78,1 l6 (seventy eight thousand, one hundred and sixteen US dollars) u'rll be retarned and used by WHO/APOC for the purchase of the equipment needed for the performance of the 2.2 aJ Pr-olect actlvrtles. l'hrs anrount rs to be shared as fbllows: Edo: US$ 44,808 Delta: US$ 33.308 5.2 From the relxarnrng amount of US$ 8,917 (erght thousand, nrne hundred and serenteen t,lS dollars), a flrst rnstallment of US$ 5,000 (five thousand US dollars) wrll be pard to the Instrtr.rtron as soon as possrble atier the srgnature of the Agreement by both partres, provrded that all the condrtrons precedent to dtsbr-rrseuent have been met. Thrs llrst rnstallment rs to be shared as follorvs: Edo: US$ 2.000 Delta: US$ 3,000 5.3. The subsequent installment(s) will be paid on request frorn the Institution accompanied by a staterrlent reconciling expenditures already made to the various budget lines. A request for further funding tbr a Prolect should be made rvhen 80% of the previous advances have been spent. One or both of these reports will be fonnally reviewed as a basis for extension of this Agreement fbr a further periocl or the signing of a subsequent Agreement for further funding. Any unliqurdated balance at the end of the period covered by the current Agreement shall be pard back to WHO/APOC by the Institution or if specifically agreed, deducted later on from the amount of the sum WHO/APOC wrll pay rn the framework of any possible subsequent Agreement. 46 Lesal arrangements It ts understood that the work under thrs Agreement wr1l be performed under the technrcal super-r,tsron of W'HO/APOC but does not create any employer/employee relatronshrp betrveen WHO/APOC'and the lnstrtLrtron 'fhe hrstrtutron shall rn that respect be solelyresponsrble for the manner rn whtch the u'ork u'rll be carrted out WHO/APOC shall not be responsrble for any loss, accrdent, damage or ln.1ury sr-rlfered by'the hrstrtr-rtron or any person clarmrng r-rnder it, ansing during or as a result of the executron of thrs rvork or ln anv manner rvhatsoe"'er. Anv drspute relatrng to the rnterpretatlon or executron of this Agreement shall. r-rnless amrcably settled, be sLrb.;ect to concrlratron. In the event of farlure of the latter, the drspute shall be settled by arbrtratron. The arbttratron shall be conducted in accordance wrth the modalitres to be agreed upon by the partres or. rn the absence of agreement, wrth the Uncitral Arbrtratron Rules.
