Work to be performed Further to the Memorandum for the African Programme for Onchocerciasis Control (APOC), PHASE II (2002-2007) and the Phasing out Period (2008-2010) (the "Memorandum"), which was endorsed by the Government of Nigeria, this Agreement is concluded for the purpose of developing and estabhshrng sustainable community dtected ivermectin disfibution Project in Cross River State ofNigena. The Project named "NGCR8" shall be camed out in accordance with the proposal submitted by the NOTF of Nigeria in September 2006,reviewed and approved by the Management of APOC. The Project shall be undertaken in 14 Local Government Areas in (Akampa, Boki, Ikom Etung, Obanliku, Yakurr, Obubra, Oboja, Biase, Bekwara, Yala, Odukpani, Abi, Obudu and Akpabuyo) in Cross River State of Nigeria. Oblisations of WHO/APOC 2.1. Total Financial Oblisation The total financial obligation of WHO/APOC, under this Agreement is US$ 41,692 (forty one thousand six hundred and ninety two dollars US). The maximum obligation of APOC for any budget Irne rtem rn thrs Agreement is the amount indicated in the approved budget line, and the total obhgatron may not exceed the sum of these budget lines. The amended and approved eighth year budget for 2007 rs attached herewrth as Annex I 2.2. Caprtal Equipment WHO/APOC will retain funds proposed for the purchase of Caprtal Equipment and make the purchases through its central purchasing system. The Institution will be responsible for swrft clearance of these goods on arrival. The equrpment and supplies furnished by WHO under this agreement wrll be handed over to the Instrtutron upon arnval at the port of entry in the country, against appropriate recerpts. 2.3. Audit of accounts WHO wtll retam funds for financial audit of the Project and shall have the right to inspect the accounts at any time by way of its intemal auditors, its external auditors or other auditors contacted for the purpose. The auditors shall have the right to inspect all transactions pertaining to the Projects between the Inshtution's bank account and actual payments for goods and services and to examlne supporting documentatton and relevant accounting entries in the Institutior's books. In order to facilitate such reporting and audit, the lnstitution shall ensure that accurate and systematic accounts are kept in respect of the funded actruties. 3. Contribution of the Institution For its part, the lnstitution, in agreement with its own Governmerit, shall provrde all the inputs requtred from the Govemment, the NGDOs and other partnsrs, including all the staff necessary for the execution of the Project in accordance with this Agreement and as set fourth in the Memorandum and in the approved Project proposal. 4. Period covered bv this Agreement This Agreement covers a period of 12 months from lst January 2007 to 31st December 2007. 5. Financial arrangements 5.1. The total amount of expenditure estimated by this Agreement is US$ 41,692 (forty one thousand six hundred and ninety two dollars US). Ofthis amount, US$ 40,000 (fortythousand dollars US) will be retained and used by WHO/APOC for the purchase of Toyota 4WD pick up, bicycles, desktop computer, laser printer and generator needed for the performance of the Project activities. aJ 5.2. The remarnrng amount of US$ 1,692 (one thousand six hundred and ninety two dollars US) equrvalent to Naira 214,038 (two hundred and fourteen thousand thirty eight dollars) wrllbe paid to the Instrtutron as soon as possrble after the signature of the Agreement by both partres, provrded that all the other conditions precedent to drsbursement have been met. 5.3. The subsequent request for further funding of the project from the lnstrtutron must be accompanied by a statement reconciling expenditures already made to the various budget lines. A request fbr fr,rrther funding for a Project should be made when 80%o of the previous advances have been spent (a) The pro.;ect rs expected to make regular lransmission at the end of each month of a copy of the bank staternent, reconcrled with a hst of all cheques drawn on the account. One or both of these reports will be formally reviewed as a basis for extension of thrs Agreement for a further perrod or the srgning of a subsequent Agreement for further funding. The instalments shall be paid to the Institutior, through the special National Onchocerciasis Task Force Bank Account, opened exclusively for WHO/APOC funds to be used on the project. 5.5. Any unliquidated balance at the end of the period covered by the current Agreement shall be paid back to WHO/APOC by the Institution or if specifically agreed, deducted later on from the amount of the sum WHO/APOC will pay in the framework of any possible subsequent Agreement. 6. Legal arrangements It is understood that the work under this Agreement will be performed under the technical supervtsion of WHO/APOC but does not create any ernployer/employee relationship between WHO/APOC and the Institution. The Institutior shall in that respect be solely responsible for the manner in which the I I4 work wrll be camed out WHO/APOC shall not be responsible for any loss, accident, damage or tnjury suffered by the Instrtutron or any person claiming under it, arising during or as a result of the execution of this work or in any manner whatsoever. Any drspute relatrng to the interpretation or execution of this Agreement shall, unless amrcably settled, be subject to concrhatron. In the event of failure of the latter, the dispute shall be settled by arbrtration. The arbitration shall be conducted in accordance with the modalrtres to be agreed upon by the partres or, rn the absence of agreement, with the Uncitral Arbitration Rules.
