The lnstrtutim witl be responsible for swift clearance of these goods onantval. The equipment and supplies furnished by WHO under this agreement wrll be handed over to thelnstrtutron agalnst appropriate receipts. 2.3. Audrt of accounts wHo will retarn funds for financral audit of the Project and shall have the nght to mspect the accounrs atanv tlme by way of tts lnternal auditors, its external auditors or other auditors contlacted for the purpose. Theatrdltors shall have the right to inspect all transactions pertaining to the Projects between the Instrtutron,s bankaccount and actual payments for goods and services and to "*u.-." suppornng documentation and relevantaccountlng entrles tn the Instituticn's books. ln order to facilitate such reiortirg La audit, the Instrtutior shallensure that accurate and systematic accounts are kept in respect of the funded it,rities. 3. Contribution of the Institution For rts part' the lnstrtuttffl, in agreement with its own Government, shall provide all the inputs requrredtiom the Government, the NGDo's and other parhlers, rncluding all the staff necessary for the executron of thePro-;ect tn accordance wtth this Agreement and as set forth in ihe Memorandum urri in the approved projectproposal. 4. Leqal arranqements It ts understood that the work under this Agreement will be performed undtr the technical supervision ofWHO/APOC but does not create any employer/employee relationship between wHO/ApoC and the Instirution.The Institutran shall in that respect be solely responsible for the rrvurner in which the work will be carried out. wHo/APoC shall not be responsible for any loss, accident, damage or injury suffered bythe Instrtutron or any person clarmtng under it, ansing during or as a result of the execution of ti.,i, work or in any manner u hatsoever. Any dlspute relattng to the interpretatlon or execution of thrs Agreernent shall, unless amrcably settled. besubject to conclllatlon. ln the event of failure of the latter, the dispute shall be settled by arbitration.
