Work to be performed Further to tl-re Memorandum for the Afncan Programme for Onchocerclasls Confrol (APOC), for PHASEIl (2002-2007) and the Phasrng out Period (2008-2010) (the "Memorandum"), whrch was endorsed by the Government of Nigeria, this Agreement is concluded for the purpose of developing and establishing sustainable community directed ivermectin distribution Project in the Plateau and Nassarawa States of Nigeria. The Prolect named "NGPLN8" shall be carried out in accordance with the proposal submitted by the NOTF Nigeria in October 2006, reviewed and approved by the Management of APOC for strengthening rhe activities of the project. The Pro.;ect shall be undertaken in 05 Local Govemment Areas in Plateau State (Bassa, Kanke, Pankshrn, Jos East and Bokkos) and rn 07 Local Government Areas rn Nassarawa State (Eggon, Karu, Kokona, Lafra, Akwanga, Wamba and Toto) of Nrgena. Oblieations of WHO/AFOC 2.1. Total Financial Oblieation The total financial obligation of WHO/APOC, under this Agreement is US$ 64,600 (sixty four thousand six hundred dollars US). This total financial obligation of WHO/APOC wrll be shared as follows: - Plateau State: - Nassarawa State: us$ 31,300 us$ 33,300 The approved budget for the eight year - 2007 , is attached herewith as Annex I 2.2. Capital Equipment WHO/APOC will retain funds proposed for the purchase of Capital Equipment and make the purchases through rts central purchasrng system. The Institution will be responsible for swift clearance of these goods on amval The equrpment and supphes furnrshed by WHO under this agreement will be handed over to the Instttutron upon arrival at the port of entry in the country, against appropriate receipts. 2.3. Audrt of accounts WHO will retarn funds for financral audrt of the Project and shall have the nght to rnspect the accounts at any trme by way of rts rnternal auditors, its extemal auditors or other audrtors contracted for the purpose. The audrtors shall have the right to inspect all transactrons pertaining to the Pro.yects between the Institution's bank account and actual payments for goods and services and to examine supporting documentation and relevant accountrng entnes rn the Instrtution's books. ln order to facilitate such reportrng and audit, the Institution shall ensure that accurate and systematic accounts are kept in respect of the funded actrvrhes. 3. Contribution of the Institution For rts part. the Institutron, ln agreement with rts own Government, shall provtde all the lnputs requrred tiorn the Govemrnent, the NGDOs and other partners, rncludrng all the staff necessary for the executron of the Pro.;ect rn accordance wrth thrs Agreement and as set forth in the Memorandum and in the approved Pro;ect proposal 4. Period covered this Aereement Thrs Agreernent covers a penod of 12 months from l" January 2007 to 31't December 2007 Financial arrangements 5. i . The total amount of expenditure estrmated by this Agreement rs US$ 64,600 (sixty four thousand six hundred dollars US). Of the above, US$ 50,000 (fifty thousand dollars US) will be retained by WHOiAPOC for the purchase of equipment needed for the performance of the Project activities. The breakdown of the total arnount to be retained rs as follows: 5 - Plateau State: - Nassarawa State: us$ 25,000 us$ 25,000 35.2. From the remaining amount of US$ 14,600 (fourteen thousand six hundred dollars US), a first instalment of US$ 7,000 (seven thousand dollars US) will be paid to the lnstitution as soon as possible after the signature of the Agreement by both parties, provided that all the other conditions precedent to disbursement have been met. The amount will be shared as follows: - Plateau State: - Nassarawa State: us$ 3,000 us$ 4,000 5.3. The subsequent instalment(s) will be paid on request from the Institution accompanied by a statement reconciling expenditures already made to the various budget lines. A request for further funding for a Project should be made when 80% of the previous advances have been spent. The payment of these replenishments will be subject to (a) The reception of the statement mentioned above; b) The transmrssion at the end of each month of a copy of the bank statement, reconciled wrth a hst of all cheques drawn on the account. One or both of these reports will be forrnally reviewed as a basis for extension of this Agreement for a further period or the signing of a subsequent Agreement for further funding. Any unhqurdated balance at the end of the period covered by the current Agreement shall be pard back to WHO/APOC by the Institution or if specifically agreed, deducted later on from the amount of the sum WHO/APOC wrll pay rn the frarnework of any possible subsequent Agreement. 6. Legal arrangements It rs understood that the work under this Agreement wrll be performed under the technrcal supervrsron of WHO'APOC br-rt does not create any employer/employee relatronship between WHO/APOC and the Instrtutron. The lnstttutron shall rn that respect be solely responsible for the manner in whrch the work wrll be carned out. 4WHO/APOC shall not be responsible for any loss, accidart, damage or injury suffered by the Institution or any person claiming under it, arising during or as a result of the execution of this work or in any manner whatsoever. Any dispute relating to the interpretation or execution of this Agreement shall, unless amicably settled, be sub_;ect to conciliation. In the event of failure of the latter, the dispute shall be settled by arbifatron. The arbitatron shall be conducted rn accordance with the modalities to be agreed upon by the parties or, in the absence of agreement, with the Uncitral Arbitration Rules. The parties shall accept the arbitral award as hnal. If your Institution accepts this proposal, we should be grateful if you would see to the signing of all the four copres of this Agreement by two persons authorized to sign on behalf of the lnstrtutic,n responsible for the execuhon of the work and return three copies to us.
