Work to be performed Further to the Memorandum for the African Programme for Onchocerciasis Control (ApOC), for PHASE Il (2002-2007) and the Phasing out Period (2008-2010) (the "Memorandum"), which was endorsed by the Government of Tanzania, this Agreement is concluded for the purpose of developing and establishing sustainable community directed ivermectin distribution Project in the Tukuyu focus in Tanzania. The Project named "TZTUKCDTI5" shall be carried out in accordance with the revised proposal submitted by the NOTF of Tanzania in August 2006, reviewed and approved by the Management oi apOC. The Project shall be undertaken in Mbeya, Rungwe and Kyela districts of the Tukuyu focus in Tanzania. The plans of work as defined in the approved Project proposal may be modified by mutual agreement of the parties taking into account the operating experience and needs of the programrne by the use of "Implementation letters" issued by "WHO/APOC". I I 2 I a 2. Obtieations of WHO/APOC 2 1 Total Financial Obligation The rotal financial obligation of WHO/APOC, under this Agreement is US$ 12,903 (twelve thousand rune lrundred and three dollars US) equivalent to T.shs 1611931265 (sixteen rnillion one hundred and ninetl' three thousand, two hundred and sixty five Tanzanian shillings only) and this will be shared as follovvs: - Regronal level K1,ela district' - Rugu,e district US$ 3,700 equivalent to T.shs 4,643,500 US$ 4,180 equivalent to T.shs 5,245,900 US$ 5,023 equivalent to T.shs 6,303,865 The r.naxrmurn oblrgatron of APOC for any budget line itenr in any Project is the amount rlrdrcatecl rn the approvcd budget line. and the total obligation may notexceedthe sumof these budget lrnes tbr anl srngle Prolect or group of Prolects. The arnended and the approved budget for the fifth year - 2007 of the project (summary and detarls; is attached hereu,ith as Annex l. ) 2 Capital Equipment \\'HOi..\POC'wrllretain funds proposed tbr the purchase of Capital Equipureut and make lhc purehtrses throLrgh rt\ ecntral purchasing system The Institution will be responsible tbr su,ifi clearance of these eoocls t'rn ar-rrr al The equrpment and supplies furnished by WHO under this agreement rvill be handed over to the Instrtutron upon arrival at the port of entry in the country, against appropriate receipts. 2 3 Audit of accounts WHO will retain funds for financial audit of the Project and shall have the right to inspect the accounts at any time by way of its internal auditors, its external auditors or other auditors contracted for the purpose The auditors shall have the right to inspect all transactions pertaining to the Projects between the Institution's bank account and actual payments for goods and services and to examine supporting documentation and relevant accounting entries in the Institution's books. In order to facilitate such reporting and audit, the L-rstitution shall ensure that accurate and systematic accounts are kept in respect of the funded activities. 3. Contribution of the Institution For its part, the Institution, in agreement with its own Government, shall provide all the inputs required from the Government, the NGDO's and other partners, including all the staff necessary for the execution of the Project in accordance with this Agreement and as set forth in the Memorandum and in tl-re approved Project proposal. 4. Period covered bv this Agreement This Agreement covers a period of 12 months from l* January 2007 to 31't December 2007. 5. Financial arrangements 55. I . The total amount of expenditure estimated by this Agreement is US$ L2,903 (twelve thousand nine hundred and three dollars US) equivalent to T.shs 161193,265 (sixteen million one hundred and ninety three thousand, two hundred and sixty five Tanzanian shillings only). Of the above, US$ 500 (five hundred dollars US) equivalent to T.shs 627,500 (six hundred and twenty seven thousand five hundred Tanzanian r3 shrllrngs only) will be retained and used by WHO/APOC for the purchase of equipment needed for the pertbrmance of the project activities. The amount retained from the total financial obligation for each district rs as follows. 5 2 The renaining arnount of US$ 12,403 (twelve thousand four hundred and three dollars US) equrvalenr to T.shs 15,565,765 (fifteen million five hundred and sixty five thousand seven hundred and sixtv five Tauzanran shillings only) will be shared as follou's' - Regional level: - K1,ela district: - Rugwe district - Regronal level Kvela district. - Rugu'e district Regional level - Krcla drstrict. This first installment will be shared between the three districts as tbllows -5 -l lhe subsequent lnstallment(s) will be paid on request from the Instttutron accompanred bt' a statement reconcrhng expenditure already made to the various budget lines. A request for further funding tbr a Pro.lect should be made wlien 80% of the previous advances have been spent. The payrnent of these replenishment will be subject to (a) The reception of the statement mentioned above; (b) The regular transmission at the end of each month of a copy of the bank statement, recouciled with a list of all cheques drawn on the account. One or both of these reports will be formally reviewed as a basis for extension of this Agreement for a further period or the signing of a subsequent Agreement for further funding. Anv unliquidated balance at the end of the period covered by the current Agreement shall be patd back to WHO/APOC by the lnstitution or if specifically agreed, deducted later on from the amount of the sunt WHO/APOC will pay in the framework of any possible subsequent Agreement. 6.
