LETTER OF AGREEMENT 2OO8 COMMTINITY DIRECTED TREATMENT WITH TVERMECTIN (CDTN pnqJEct N TEn ccxfiuu r pnovtr{cn or cAMEnooN (YEln q) (cMRC3P!r) Fon the purpose of developing and establishing sustainable Community Directed Treahe'nt with Ivennectin (CDT D for the control of onchocerciasis in Cameroon, The World Health Organization's African Programme for Onchocerciasis Control, hereinafter referred to as "WHO/APOC" ontheonehand, and The National Onchocerciasis Task Force, Ministry of Health, Canreroon, hereinafter referred to as "the Institution', on the other han4 HAVE AGREED AS FOLLOWS l. \Mork to be nerformed Further to the Memorandum for the African Programme for Onchocerciasis Control (APOC), PHASE tr (2 OO2-2007) and the Phasing out Period (2008-2010) (the "Memorandum"), which was endorsed by tbe Govermentof Camermn, this Agreement is concluded forthe purposeofdeveloping and establishing sustainable community direct€d ivermectin distribution Project in the Cenfe 3 Province of Camooon. The Project named "CMRC3P9" shall be carried out in accordance with the suSainability work plans, budgets and justifications notes submitted by the NOTF of Cameroon in August 2007, reviewed and approved by the Manage,ment of APOC. The Project shall be undertaken in 8 Health Districts (EbeM4 Elig-Mfomo, Esdk4 Esse, Ngog-Mapubi, Obala" Okola and Sa'a) in the Centre 3 Province of Cameroon. The plans of work and the time tine as defined in the sustainability plan may be modified by mutual agreem€nt of the parties taking into account the operating experience and neods of the Programme by the use of "Implementation lett€rs" issued by'WHO/APOC'. I2 2. Oblisations of WHO/APOC 2.1. Total Financial Obligation The total financial obligation of WHO/APOC, under this Agreeme,nt is US$ 72UI (Seven thousand Two Hundrcd and Threc dollars US). The maximum obligation of APOC for any budget line item in this Agreem€nt is the amount indicated in the approved budgst line, and the total obligation may not exceed the sum of these budget lines. The anrended and approved budget for 2008, is attached herewith as Annex 1 2.2- Audit of accounts WHO will retain funds for financial audit of the Project and shall have the right to inspect the accounts at any time by way of its internal auditors, its external auditors or other auditors contractod for the purpose. The auditors shall have the right to inspect all fansactions pertaining to the Projects behreen the Institution's bank account and actual paym€nts for goods and services and to examine supporting docrune,ntation and relevant accomting eirtries in the Institution's books. In order to facilitate such reporting md adit, the hstiutim stmll €n$rre that accuratc and syste,matic accormts are ke,pt in respect of the ftmded activities. 3. Contribution of the Institution For its part the Institution, in agree,mentwithits own Governmeng shallprovi&a[theirytrsrequiredfr,orrt the Govemmeir! the NGDO's and other partners, including all the staffnecessary for the orecution of the hoject in accordance with this Agree,ment and as set forth in the Memorandum and in the approved Project proposal as well as in the sustainability plan. 4. Period covered bv this Asreement This Agree,ment covers a perid of 12 months from ld January to 31d lkcember 2fl)E. 5. Financial arransements 5.1. The total amomt of openditure estimated by this Agreement is US$ 7103 (Seven thousand Two Hundred and Threc dollars US). Of the above, US$ 503 (Five Hundred and Three dollars) will be retained by and used by WHO/APOC for the direct payment of the NGDO's overheads according to the agreed standards of the Joint Action Fonrm- From the amount of US$,700 (six thousand seven hundred dollars US), a first instaltment ofUS$4,690 (four thousand, six hrmdred and ninety dollars US) will be paid to the Institution as soon as possible after the signatrne of the Agree,ment by both parties, provided that all the other mnditions precedent to disburseinent have been met. 5.2. The subseque,nt instalment(s) will be paid on request from the Institution accompanied by a stat€mcnt reconciling expendinre already made to the various budget lines. A request for finther funding for a Project should be made rryhen 8fflo of the previous advances have beeir speirt. One or both of these reports will be formally reviewed as a basis for extension of this Agreernent for a firrther period or the signing of a subsequent Agreeme,nt for firther fi.rnding. The instalments shall be paid to ttre Institution, through tho qpocial Natimal Oncttoc€rciasis Task Force Bank Account, opeoed exclusively for WHO/APOC fimds to be usd on the project. 5.4. Anyunliquidatedbalanceattheendoftheperiodcoveredbythecurre,ntAgre€mentshallbepaidback to WHO/APOC by the Instihtrion or if specifically agreed, deducted lat€r on from the mount of the sum WHO/APOC will pay in the framewoft of any possible subseque,nt Agreement. 6. Legal erransements It is understood that the work under this Agreeme,nt will be performed under the technical supervision of WHO/APOC but does not create any employer/e,rnplcyee relationship beureen WHO/APOC md the Institsim" Tbe lnstitution shall in that respect be sole$ respmsible for the manner in which the work will be carried out. WHO/APOC shall not be responsible for any loss, accide,nt damage or injury suffered by the Instiurim or any pcrson claiming under it, arising during or as a result of the errccution of this work or in my mm€r whatsoeve(. Any dispute relating to the interpretation or execution of this Agree,meirt shall, unless amicably settls( be subject to conciliation. In the event of failure of the latter, the dispute shall be settled by arbitration. The arbiration shall be conducted in accordance with the modalities to be agreed trpon by the parties or, in the absence of agreem€nt, with the Uncitral Arbitration Rules. The parties shall accept the arbitral award as final.
