Washington, D.C. 20433 United States of America Re: Loan No. 4638 TU (Social Risk Mitigation Project/Loan) Financial Management: Category (6) Dear Sirs and Mesdames: We refer to the Loan Agreement of even date herewith between the Republic of Turkey (the Borrower) and the International Bank for Reconstruction and Development (the Bank) for the Social Risk Mitigation Project/Loan (the Loan Agreement). Terms defined in the Loan Agreement shall have the same meaning when used in this letter. 1. The Borrower and the Bank hereby agree that the Borrower will perform the obligations set forth in Section 4.03 of the Loan Agreement with respect to the Deposit Account and related accounts and records and, for the purposes of Section 4.03 of the Loan Agreement, the Bank’s request shall be deemed to have been made at the end of fiscal year 2001 of the Borrower as well as at the Closing Date of the Loan. The audits pursuant to Section 4.03 of the Loan Agreement shall be carried out in accordance with terms of reference agreed between the Bank and the Borrower. 2. In addition the Borrower also agrees to submit to the Bank two reports on receipts and payments showing the transactions on the Deposit Account and related accounts, starting with the receipt of the funds under Category (6) under Schedule 1 of the Loan Agreement, and ending when Bank disbursements under Category (6) under Schedule 1 of the Loan Agreement have ceased and when the balance on the Deposit Account has been reduced to zero. It is our understanding that, in making the Loan, the Bank may rely on the statements set forth or referred to in this letter.
