Washington, D.C. 20433 Dear Sirs: Re: Financial Sector Restructuring Loan (Loan No. 3911) Actions to be Taken and Bank Review Please refer to the Loan Agreement (Financial Sector Restructuring Loan) of even date herewith between Nacional Financiera, S.N.C. and the International Bank for Reconstruction and Development (the Bank) for a loan in the amount of $1,000,000,000 (the Loan) and the Guarantee Agreement (Financial Sector Restructuring Loan) of even date herewith between United Mexican States (the Guarantor) and the Bank. Whenever used in this letter, the terms defined in the Loan Agreement have the respective meanings therein set forth. With respect to the letter from the Guarantor to the Bank dated May 19, 1995 and the matrix attached thereto as Attachment I, provided in the context of the arrangements for the Loan, the Guarantor hereby agrees that, without limitation upon the Bankþs right to receive information with respect to the Loan and the Program under Section IX of the General Conditions, the studies, reports and information referred to in the Matrix of Policy Actions attached hereto as Annex I shall be provided to the Bank for its review or shall be reviewed with the Bank in accordance with the provisions of said Matrix. Please confirm your agreement with the above by signing this letter in the space provided.
