Work to be performed Further to the Memorandum for the African Programme for Onchocerciasis Control (APOC), PHASE 1,1996-2001 (the "Memorandum"), which was signed by the Federal Government of Nigeria on 5 September 1996, this Agreement is concluded for the purpose of developing and establishing sustainable communitydirected ivermectin distribution project in the Taraba State of Nigeria. The Project named "NGTB3" shall be carried out in accordance with the proposal submitted by theNOTF of Nigeria in February 1997, reviewed by the Technical Consultative Committee (TCC) at it; 3rd session of April 7997 and approved by the Commipee of Sponsoring Agencies (CSA) on 30 April 1997 , andthe third year revised budget submitted by the NoTF in May 1999, reviewed by the TCC at its eight session of 28 June to 2 July 1999 and approvecl by the CSA in July 1999. and PROPOSAL OF TECHNICAL SERVICES - LETTER OF AGREEMENT 2OOO 2The third year activities of the Project shall be undertaken in all the twelve onchocerciasis endemicLocal Government ATT (Bali, Donga, Gashaka, Kurmi, Takum, Ussa, yorro, Karim-Lamido, Sardauna,Zing, Ardo-kola and IBI) in the Taraba State of Nigeria. The plans of work and the time line as defined in the approved Project proposal may be modified by muhral agreement of the parties taking into account the operating experiencl anO needs of the programme Uy the use of "Implementation letters" issued by "WHO/AiOC". - 2. Obligations of WHO/ApOC 2.1. Total Financial Obligation The total financial obligation of WHo/APOC, under ttris Agreement is US $ 115,971 (One hundred and fifteen thousand nine hundred and seventy one US dollars). The maximum obligation of ApOC for anybudget line item in any project is the amount indicated in the approved budget line,-and the total ourigaJon may not exceed the sum of these budget lines for any single Project or group of projects. The amended and approved second year budget for 2000 (summary and details) is attached herewith as Annex 1. 2.2. Capital Equipment wHo/APoC will retain funds proposed for the purchase of Capital Equipment and make thepurchases through its central purchasing system. The Instirution will be responsiuL for swift clearance of these goods on arrival. Vehicle deliveries to the port average 4 months aftei placement of orders with full specifications of make, model, engine size, petrol or diesil, left hand drive or right hand drive, seating capacity and options required. The equipment and supplies furnished by wHo under this agreement will be handed over to theInstitution upon arrival at the port of entry in the country, against appropriate receipts. 2.3. Audit of accounts wHo will retain funds for financial audit of the Project and shall have the right to inspect the accounts at any time by way of its internal auditors, its external auditors or other auditors contracted for thepurpose. The auditors shall have the right to inspect all transactions pertaining to the projects between theInstitution's bank account and actual payments for goods and services and to examine supportingdocumentation and relevant accounting entries in the Institution's books. In order to facilitate sucn rlportin! and audit, the Institution shall ensure that accurate and systematic accounts are kept in respect of the funded activities. 3. Contribution of the Institution For its part, the Institution, in agreement with its own Government, shall provide all the inputs required from the Government, the NGDo's and other partners, including all the siaff necessary foithe execution of the Proiect in accordance with this Agreement and as set forth in the Memorandum and in the approved Project proposal. a a 34. Period covered by this Agreement This Agreement covers a period of 12 months, from lst December 1999 to 30h November 2000. 5. Financial arrangements 5. 1. The total amount of expenditure estimated by this Agreement is US $ ll5,g7l (One hundred and fifteen thousand nine hundred and seventy one US dollars). Of the above, US $ 28,091 (Twenty eight thousand and ninety one US dollars) will be retained and used by WHO/APOC for the purchase of a vehiile needed for the performance of the Project activities and, if specified, for direct payment of the NGDO's overheads, according to the agreed standards of the Joint Action Forum. 5.2. From the remaining amounts of US $ 87,880, a first instalment of US $ 22,000 will be paid to the Institution on signature of the Agreement by both parties, provided that all the conditions precedent to disbursement have been met. 5.3. The subsequent instalment(s) will be paid on request from the Institution accompanied by a statement reconciling expenditure already made to the various budget lines. A request for further funding for a Project should be made when 80% of the previous advances have been spent. The payment of these replenishment will be subject to: (a) The reception of tl.le statement mentioned above; (b) The regular transmission at the end of each month of a copy of the bank statement, reconciled with a list of all cheques drawn on the account. One or bottr of these reports will be formally reviewed as a basis for extension of this Agreement foi a further period or the signing of a subsequent Agreement for further funding. The instalments shall be paid to the Instinrtion, through the special National Onchocerciasis Task Force Bank Account, opened exclusively for WHO/APOC funds to be used on the project. 5.5. Legal arrangements It is understood that the work under this Agreement will be performed under the technical supervision of WHO/APOC but does not create any employer/employee relationship between WHO/ApOC and theInstitution. The Institution shall in that respect be solely responsible for the manner in which the work will be carried out. WHO/APOC shall not be responsible for any loss, accident, damage or injury suffered by theInstitution or any person claiming under it, arising during or as a result of the execution of this work or in any manner whatsoever. Any dispute relating to the interpretation or execution of this Agreement shall, unless amicably settled, be subject to conciliation. In the event of failure of the latter, the dispute shall be settled by arbitration. The arbitration shall be conducted in accordance with the modalities to bi agreed upon by the parties or, in the absence of agreement, with the Uncitral Arbitration Rules. The parties shall accept the arbitral award as final.
