LETTER OF AGREEMENT 2OOO COMMTJMTY DIRECTED TREATMENT WITH TVERMECTIN (CDTN PROJECT TN EDO AND DELTA STATES (MGERIA) NGED2)(YEAR 2) For the purpose of developing and establishing sustainable Community Directed Treatrnent with Ivermectin (CDTD for the control of onchocerciasis in Nigeria, The Worto ticoi*r '.t o*?^^'rlrij----',.'.f:i:,-;r f:n3'4s;.-11 fc- fnli--.--rciasis C6ntrol, hereinafter referred to as "WHO/APOC" on the one hand, The National Onchocerciasis Task Force, Ministry of Health and Social .Services, Nigeria, hereinafter referred to as "the Institution", on the other hand, HAVE AGREED AS FOLLOWS 1. Work to be performed Further to the Memorandum for the African Programme for Onchocerciasis Control (ApOC), PHASE I, 1996-2W1 (the "Memorandum"), which was signed by the Government of Nigeria on 5 September 1996, this Agreement is concluded for the purpose of developing and establishing suitainable community directed ivermectin distribution Project in Edo and Delta states of Nigeria. The Project named 'NGED2' shall be carried out in accordance wittr the proposal submitted by the NOTF of Nigeria in January 2000, reviewed by the Technical Consultative Committee (TCC) ar irs 9rh session of February/March 2000 and approved by the Committee of Sponsoring Agencies (CSA) in March 2000. The Project shall be undertaken in twelve t ocal Government Areas (LGAs) in Edo (Akoko E4o, Etsako East, Etsalp West, Esan West, Esan Northeast, Esan Southeast, Owan West, Ovia Southwest, Ovia Northeast, Uhunmwode, Orhiomwon and tgueben) and 9 LGAs Delta State (Aniocha North, Aniocha South, a I2 Oshimili North, Oshimili South, Ika Northeast, Ika South, Ndokwa West, Ukwani, and Ndokwa East) of Nigeria. The plans of work and the time line as defured in the approved Project proposal may be modified by mutual agreement of the parties aking into account the operating experience and needs of the Programme by tlte use of "lmplementation letters" issued by "WHO/APOC'. 2. Obligations of WHO/APOC 2.1. Total Financial Obligation The total financial obligation of WHO/APOC, under this Agreement is US$168,445 (one hundred and sixty eight thousand, four hundred and forty five dollars US). The maximum obligation of APOC for any budget line item in this Agreement is the amount indicated in the approved budget line, and the total obligation rnay not exceed the sum of these budget lines. The amended and approved budget for 2000, is attached herewith as Annex l. 2.2. eaoital Eouioment WIIO/APOC will retain funds proposed for the purchase of Capital Equipment and make the purchases through is central purchasing system. The Institution will be responsible for swift clearance of these goods on arrival. Vehicle deliveries to the port average 4 months after placement of orders with full specifications of make, model, engine size, petrol or diesel, left hand drive or right hand drive, seating capacity and options required. The equipment and supplies furnished by WHO under this agreement will be handed over to the Institution upon arrival at the port of entry in the country, against appropriate receips. 2.3. Audit of accounts WHO will retain funds for financial audit of the Project and shall have the right to inspect the accounts at any time by way of its internal auditors, its external auditors or other auditors contracted for the purpose. The auditors shall have the right to inspect all transactions pertaining to the Projects between the lnstitution's bank account and actual payments for goods and services and to examine supporting documentation and relevant accounting enfties in the Institution's books. [n order to facilitate such reporting and audit, the Institution shall ensure that accurate and systematic accounts are kept in respect of the funded activities. 3. Contribution of the Institution For its part, the lnstitution, in agreement with its own Government, shall provide all the inputs required from the Government, the NGDOs and other parmers, including all the staff necessary for the execution of the Project in accordance with this Agreement and as set forth in the Memorandum and in the approved Project proposal. Period covered by this Agreement This Agreement covers a period of 12 months from lst June 2000 to 3lst May 2001 4. 35. Financial arrangements 5.1. The total amount of expenditure estimated by this Agreement is US$168,445(one hundred and sixty eight thousand, eight hundred and forty five dollars US). Of rhe above, US$43,402 ( forry three thousand, four hundred and two dollars US) will be retained and used by WHO/APOC for the purchase of vehicles and other equipment needed for the performance of the Project activities and the direct payment of the NGDO's overheads according to the agreed standards of the Joint Action Forum. 5.2. From the remaining amounts of US$125,043 (one hundred and twenty five thousand, forty three dollars US), a first instalment of US$60,000 (sixty thousand dollars US) will be paid to rhe Insrirurion on signature of the Agreement by both parties, provided that all the other conditions precedent to disbursement have been met. 5.3. The subsequent installment(s) will be paid on request from the Institution accompanied by a statement reconciling expenditure already made to the various budget lines. A request for further funding for a Project should be made when 80% of the previous advances have been spent. The payment of these replenishments will be subject to: (a) The reception of the statement mentioned above; (b) The regular transmission at the end of each month of a copy of the bank statement, reconciled with a list of all cheques drawn on the account. Documents should be forwarded to the following address : Programme Director/APOC Aftention: Administrative and Finance Officer WHO/APOC 01 BP 549 Ouagadougou 01 Burkina Faso (c) A progress report six months after the funds have been received, and another after 12 months indicating the activities carried out and the amount spent against each budget line. One or both of these reports will be formally reviewed as a basis for extension of this Agreement for a further period or the signing of a subsequent Agreement for further funding. The installments shall be paid to the lnstitution, through the special National Onchocerciasis Task Force Bank Account, opened exclusively for WHO/APOC funds to be used on the project. 5 .5 . Any unliquidated balance at the end of the period covered by the current Agreement shall be paid back to WHO/APOC by the Institution or if specifically agreed, deducted later on from the amount of the sum WHO/APOC will pay in the framework of any possible subsequent Agreement. f J , ' rt 1.. *,, ,i rrii 4 6. Legal arrangements It is understood that the work under this Agreement will be performed under the technical supervision of wHo/APoC but does not create any employer/employee relationship between wHo/ApoC and theInstitution. The Institution shall in that respect be solely reiponsible for the manner in which the work will be carried out. wHo/APoC shall not be responsible for any loss, accident, damage or injury suffered by theInstinrtion or any person claiming under it, arising during or as a result of the execution of this work or in any manner whatsoever. Any dispute relating to the interpretation or execution of this Agreement shall, unless amicably settled, be subject to conciliation. In the event of failure of the latter, the dispute shall be settled by arbitration. The arbitration shall be conducted in accordance with the modalities to be agreed upon by the parties or, in the absence of agreement, with the Uncitral Arbitration Rules. The parties stratt acceit the arbitral award as hnal. If your lnstitution accepts this proposal, we should be grateful if you would see to the signing of allthe four copies of this Agreement by two persons authorized to sign on behalf of the Instirution iespinsiblefor the execution of the work and return three copies to us.
