Uganda, herernafter referred to as "the lnstrtutron", on the other hand, HAVE AGREED AS FOLLOWS 1. Work to be performed Further to the Memorandum for the African Programme for Onchocercrasrs Control (APOC'). for PHASE II (2002-2007) and the Phasing out Period (2008-2010) (the "Memorandurn"), whrch was srgned by the Govemment of Uganda on 14 December 200 I , this Agreement rs concluded for the purpose of the completron of vector Srmulium neavr elimrnation monrtoring activrtres in Mpamba-Nkusr focus rn Krbare drstnct of Uganda The Pro.lect named "UGVE4" shall be carried out rn accordance wrth the proposal submrtted by the NorF of Uganda rn February 2005 and approved by the Management of Apoc. The Pro;ect shal1 be undertaken in the Mpamba-Nkusi focus rn Krbale drstnct: monltonng actrvrtres of vector ehmrnatron. a2 T'he plans of work and the hme lrne as defined rn the approved Pro.lect proposal may be modrtied by nrutual agreement of the partres tahrng rnto account the operating experience and needs of the Prograntme by the use of "lmplementation letters" tssued by "WHO/APOC". 2. Oblieations of WHO/APOC 2.1 Total Frnancral Obhgatron The total financtal obhgatron of WHOiAPOC, under thrs Agreement rs US$ 21,134 (twenty one thousand one hundred and thirty four dollars US). The maximum obligatron of APOC fbr any budget hne rtem tn thts Agreement ts the amount indtcated in the approved budget line, and the total obhgatron may not exceed the sr-un of these budget lines. The approved budget for 2005, is attached herewrth as Annex I 2.2 Audrt of accounts WHO wrll retain funds for financial audit of the Prolect and shall have the nght to tnspect the accounts at ally trme by way of its tnternal auditors, its extemal auditors or other auditors contracted for the purpose. The attdttors shall have the nght to inspect all transactions pertaining to the Projects between the Institutron's bank account and actual payments for goods and servrces and to examine supporting documentatron and relevant accounttng entrles in the Instrtutton's books. In order to facrlrtate such reportrng and audrt, the Instttutron shall ensure that accurate and systematlc accounts are kept in respect of the funded actrvrtres. 3. Contribution of the Institution For lts part, the Instrtution, ln agreement with its own Government. shall provrde all the rnputs requrred fion-r the Government, the NGDO's and other partners, including all the staff necessary for the executron olthe Pro.;ect tn accordance wtth thrs Agreement and as set lbrth in the Memorandum and rn the approved pro;ect proposal. 4. Period covered by this Agreement Thrs Agreement covers a period of 12 months from lst April2005 to 31st March 2006. 5. Financial arranqements 5.1 . The trltal amount of expenditure estrmated by thrs Agreement rs US$ 21 ,134 (twenty one thousand one hundred and thrrty four dollars US) 5-2. Frorn the above-mentioned amounts of US$ 21,134 (twenty one thousand one hundred and thrrty four dollars US), a first installment of US$ 12,000 (twelve thousand dollars US) will be paid to the Institution as soon as possible after the signature of the Agreement by both parties, provided that all the other conditions precedent to disbursement have been met. 5.3 - The subsequent instalment(s) will be paid on request from the Instirution accompanied by a statelnent reconciling expenditures already made to the various budget lines. A request for further funding for a Project should be made when 80% of the previous advances have been spent. JThe payrnent of tliese replenishrnents will be subject to (a) The reception of the statement mentioned above; (b) The regular transmission at the end of each month of a copy of the bank statement, reconciled with a list of all cheques drawn on the account. One or both of these reports will be formally reviewed as a basis for extension of this Agreement for a further period or the signing of a subsequent Agreement for further funding. The instalments shall be paid to the Institution, through the special National Onchocerciasis Task Force Bank Account, opened exclusively for WHO/APOC funds to be used on the project. 5.5. Any unliquidated balance at the end of the period covered by the current Agreement shall be paid back to WHO/APOC by the Instinrtion or if specifically agreed, deducted later on from the amount of the sum WHO/APOC will pay in the framework of any possible subsequent Agreemenr. 6. Legal arrangements It is understood that the work under this Agreement will be performed under the technical supervision of WHO/APOC but does not create any employer/employee relationship between WHO/APOC and rhe lnstitution. The Institution shall in that respect be solely responsible for the manner in which rhe work will be carried out. WHO/APOC shall not be responsible for any loss, accident, damage or injury suffered by the Institution or any person claiming under it, arising during or as a result of the execution of this work or in any rranner whatsoever. Any dispute relating to the interpretation or execution of this Agreement shall, unless amicably sertled, be subject to conciliation. In the event of failure of the latter, the dispute shall be settled by arbitration. The arbitration shall be conducted in accordance with the modalities to be agreed upon by the parties or, in the absence of agreement, with the Uncitral Arbitration Rules.
