Work to be performed Further to the Memorandum for the African Progralnme for Onchocerciasis Control (APOC), PHASE I, Lgg6-2001 (the "Memorandum"), which was signed by the Government of Nigeria on 5 September 1996, this Agreement is concluded for the purpose of developing and establishing sustainable community directed ivermectin distribution Project in the Bauchi State of Nigeria. The project named "NGBAUI" shall be carried out in accordance with the proposal submitted by the NOTF of Nigeria in May 1999, reviewed by the Technical Consultative Commiuee (TCC) in its 8th session of 28 Jgne to 2.d July 1999 and qpproved by fte Committee of Sponsoring Agencies (CSA) in July 1999. The Project shall be undertaken in thirteen Local Government Areas (Ningi, Warji, Darazo, Alkaleri, Kirfi, Dass, Tafawa Balewa, Toro, Shira, Bauchi, Katagum, Ganjuwa and Misau) in the Bauchi State of Nigeria. 2The plagrs of work and the time line as defined in the approved Project proposal may be modified by munral agreement of the parties taking into account the operating experience and needs of the Programme by the use of "Implementation letters" issued by "WHO/APOC". 2. Obligations of WHO/APOC 2.1. Total Financial Obligation The total financial obligation of WHO/APOC, under this Agreement is US $ 161,341 (One hundred and sixty one thousand, three hundred and forty one dollars US). The maximum obligation of APOC for any budget line item in any project is the amount indicated in the approved budget line, and the total obligation may not exceed the sum of these budget lines for any single Project or group of Projects. The amended and approved first year budget for 2000 (summary and details) is attached herewith as Annex 1. 2.2. Capital Equipment WHO/APOC will retain funds proposed for the purchase of Capital Equipment and make the purchases through its central purchasing system. The lnstitution will be reqponsible for swift clearance of these goods on arrival. Vehicle deliveries to the port average 4 months after placement of orders with full specifications of make, model, engine size, petrol or diesel, left hand drive or right hand drive, seating capacity and options required. The equipment and supplies furnished by WHO under this agreement will be handed over to the lnstitution upon arrival at the port of entry in the country, against appropriate receipts. 2.3. Audit of accounts WHO will retain funds for financial audit of the Project and shall have the right to inspect the accounts at any time by way of irc internal auditors, its external auditors or other auditors contracted for the purpose. The auditors shall have the right to inspect all transactions pertaining to the Projects between the lnstitution's bank account and actual payments for goods and services and to examine suppoiling documentation and relevant accounting entries in the Institution's books. In order to facilitate such reporting and audit, the lnstitution shall ensure that accurate and systematic accounts are kept in respect of the funded activities. 3. Contribution of the Institution For its part, the Institution, in agreement with its own Government, shall provide all the inputs required from the Government, the NGDO's and other partners, including all the staff necessary for the execution of the Project in accordance with this Agreement and as set forth in the Memorandum and in the approved Project proposal. 4.- .Period coyered by this Agreement This Agreement covers a period of 12 months from l't December 1999 to 30d November 2000 '!a, GQffi* -r" 6.
