Force (NOTF) Federal Ministry of Health and Social Services Department of Prirnary Health Care Federal Secretariat Phase 2 La_qos Nigeria COMMTINITY DIRECTBD TREATMENT WITH IVERMECTIN (CDTT) PROJECT IN THE TARABA STATE OF NIGERIA TNGTBI) For the purpose of developing and establishing sustainable Communiry Directed Treatment with Ivermectin (CDTI) for the control of onchocerciasis in Nigeria, The World Health Organization's African Progranure for Onchocercrasis Control. hereinafter referred to as "WHO/APOC' on rhe one hand, and The National Onchocerciasis Task Force, Fecleral Ministry of Health and Social Services, Nigeria, hereinafter referred to as "the Institution", on the other hand, HAVE AGREED AS FOLLOWS 1. Work to be performed Further to the Memorandum for the African Programrne for Onchocerciasis Control (APOC), PHASEl, 1996-2001 (the "Memorandum"), which was signed by the Federal Government of Nigeria on 5 September 1996, this Agreement is concluded for the purpose of developing and establishing sustainable community directed ivermectin distribution Project in the Taraba State of Nigeria. The Project named "NGTB1" shall be carried out in accordance with the proposal submitted by the NOTF of Nigeria in February 1997, reviewed by the Technical Consulrarive Cornmirree (TCC) in its 3rd session of April 1997 and approved by the Cornmitree of Sponsoring Agencies (CSA) on 30 April 1997, pending amendments to be made by the NOTF of Nigeria as requesred by the TCC and endorsed by the CSA in April 1997. PROPOSAL OF TECHNICAL SERVICES - LET'|ER OF AGREEMENT 1997 i a2 The Project shall be undertaken in nine Local Government Areas (Bali, Donga, Gashaka, Takum, Wukari, Zing, Karim, Lamido and Yorro) in the Taraba State of Nigeria. The plans of work and the time line as defined in the approved Project proposal may be modified by mutual agreement of the parties taking into account the operating experience and needs of the Programme by the use of "Implementation letters" issued by "WHO/APOC". 2. Obligations of WHO/APOC 2.1. Total Financial Obligation The total financial obligation of WHO/APOC, under this Agreement is US $ 243,522 (Two hundred and forry three thousand five hundred and twenty two dollars US). The maximum obligation of APOC for any budget line item in any project is the amount indicated in the approved budget line, and the total obligation may not exceed the sum of these budget lines for any single Project or group of Projects. The amended and approved budget for 1997, is attached herewith as Annex I 2.2. Capital Equiprnent WHO/APOC will retain funds proposed for the purchase of Capital Equipment and make the purchases through its central purchasing system. The Instirution will be responsible for su,ift clearance of these goods on arrival. Vehicle deliveries to the port average 4 months after placement of orders with full specifications of make, model, engine size, petrol or diesel, leti hand drive or right hand drive, seating capaciry and options required. The equipment and supplies furnished by WHO under this agreement will be handed over to the Institution upon arrival at the port of entry in the country, against appropriate receipts. 2.3. Audit of accounts WHO will rerain funds for financial audit of the Project and shall have the right to inspect the accounts at any time by way of its internal auditors, its external auditors or other auditors contracted for the purpose. The auditors shall have the right to inspect all transactions pertaining to the Projects between the Instin:tion's bank account and actual payments for goods and services and to examine supporting documentation and relevant accounting entries in the Instirution's books. In order to facilitate such reporting and audit, the Institution shall ensure that accurate and systematic accounts are kept in respect of the funded activities. 3. Contribution of the Institution For its part, the lnstirution, in agreement with its own Government, shall provide all the inputs required from the Government, the NGDO's and other partners, including all the staff necessary for the execution of the Project in accordance with this Agreement and as set forth in the Memorandum and in the approved Project proposal. Period covered by this Agreement This Agreement covers a period of l2 months from lst July 199'1 to 30rh June 1998 4 aJ 5. Financial arrangements 5.1. The total amount of expenditure estimated by this Agreement is US $ 4152L(Two hundred and forry three thousand five hundred and twenry two dollars US). Of the above, US $ 98,350 (Ninety eight thousand three hundred fifty US dollars) will be retained and used by WHO/APOC for the purchase of vehicles and other equipment needed for the performance of the Project activities. 5.2. From the remaining amounts of US $ 145,172, a first instahnent of US $ 55,000 will be paid to the Institution on signature of the Agreement by both parties, provided that all the conditions precedent to disbursement have been met. 5.3. The subsequent instalment(s) will be paid on request from the Instirution accompanied by a statement reconciling expenditure already made to the various budget lines. A request for further funding for a Project should be made when 80% of the previous advances have been spent. The payment of these replenishrnents will be subject to (a) The reception of the statement mentioned above; (b) The regular transmission at the end of each month of a copy of the bank statement, reconciled rvith a list of all cheques drarvn on the account. Documents should be forrvarded to the following address : Finance Officer WHO/APOC 0l BP s49 Ouagadougou 0l Burkina Faso (c) A progress report six months after the funds have been received, and another after 12 months indicating the activities carried out and the amount spent against each budget line. One or both of these reports will be formally reviewed as a basis for extension of this Agreement for a further period or the signing of a subsequent Agreement for further funding. The instalments shallbe paid to the Institution, through the special National Onchocerciasis Task Force Bank Account, opened exclusively for WHO/APOC funds to be used on the project. 5.5. Any unliquidated balance at the end of the period covered by the currenr Agreement shall be paid back to WHO/APOC by the Institution or if specifically agreed, deducted later on from the amount of the sum WHO/APOC will pay in the framework of any possible subsequent Agreement. 6. Legal arrangements It is understood that the work under this Agreement will be performed under the technical supervision of WHO/APOC but does not create any ernployer/employee relationship between WHO/APOC and the I4 Institution. The Instirution shall in that respect be solely responsible for the manner in which the work will be carried out. WHO/APOC shall not be responsible for any loss, accident, damage or injury suffered by the Instirution or any person claiming under it, arising during or as a result of the execution of this work or in any manner whatsoever. Any dispute relating to the interpretation or execution of this Agreement shall, unless amicably senled, be subject to conciliation. In the event of failure of the latter, the dispute shall be settled by arbitration. The arbitration shall be conducted in accordance rvith the modalities to be agreed upon by the parties or, in the absence of agreement, with the Uncitral Arbitration Rules. The parties shallaccept tlie arbitral award as final. If your Institution accepts this proposal, rve should be grateful if you rvould see to the signing of all the four copies of this Agreement by two persons authorized to sign on behalf of the Instirution responsible for the execution of the work and return the original and two copies to us. indicating the national onchocerciasis Bank account number as well as the address of the Bank to which the payment should be made.
