Work to be performed Further to the Memorandum for the African Programme for Onchocerciasrs Control (APOC). Phase II (2002-2001) and the Phasing out Penod (2008-20 l0) (the "Memorandum"), which was endorsed by the Government of Nrgena, thrs Agreement rs concluded for the purpose of developrng and establlshrng sustarnable communrty drrected rvermectrn distributicn Project in Jigawa State CDTI Project of Nigena. The Prolect named "NGJIG5" shall be carried out in accordance with the proposal submrtted by the NOTF of Nrgena rn September 2006, reviewed and approved by the Management of APOC. The Pro.;ect shall be undertaken in eight Local Government Areas (Birrnin Kudu, Brrnrrva. Durse.(rs s136. Kafin Hausa. Caprtal Equipment WHO/APOC wrll retain funds proposed for the purchase of Capital Equrpment and make the purchases through rts central purchasing system. The Institution will be responsible for srviticlearance of these goods on an-rval. The equrpment and supplies fumished by WHO under this agreement wrll be handed over to the Instltutron upon arrrral at the port of entry in the country, against appropriate recelpts. 2.3. Audit of accounts \\IHO qrll retarn funds for financral audlt of the Project and shall have the nght to rnspect the accounts at any trme by way of rts rnternal auditors, its external auditors or other auditors contracted forthe purpose. The audrtors shall have the nght to inspect all transactions pertaining to the Pro.lects between the Instttutrqr's bank account and actual payments tbr goods and services and to examine supportmg documentation and relevant accountrng entnes in the Instituticn's books. In order to facilitate such reporting and audit, the Institutrur shall ensure that accurate and systematic accounts are kept in respect of the funded actrvities. 3. Contribution the Institution For tts part. the Institutror, in agreement wrth its own Government, shall provrde all the lnputs requrred tiom the Government, the NGDO's and other partners, including all the staff necessary for the execution of the Pro;ect tn accordance with thrs Agreement and as set forth rn the Memorandum and rn the approved Prolect proposal. 4. Period covered this Aereement Thrs Agreement covers a penod of 12 months from l" January 2fi)7 to 3l'r Decemb er 2007. 5. Financial arrangements 5. I . The total amount of expenditure estirnated by this Agreement is US$ 2500 (two thousand and five hundred dollars US). One or both of rhese reports rvill be formally reviewed as a basis for extension of this Agreement for a further period or the signing of a subsequent Agreement for further funding. The rnstalment shall be paid to the Institutiur, through the specral National Onchocerciasis Task Force Bank Account, opened exclusively for WHO/APOC funds to be used on the project. 5.5. Any unhquidated balance at the end of the penod covered by the current Agreement shall be paid back to WHO/APOC by the Institutian or if specifically agreed, deducted later on from the amount of the sum WHO/APOC wrll pay rn the framework of any possible subsequent Agreement. 6. Leg.al arrangements It rs understood that the work under this Agreement will be performed under the technrcal superv'isron of \\'HO'APOC but does not create any employer/employee relationship between WHO/APOC and the Instrtuhon. The lnstrtutron shall rn that respect be solely responsible for the manner rn whrch the work wrll be carrred oul. WHO/APOC shall not be responsible for any loss, accident, damage or injury suffered by the lnstru.rtron or any person clarming under lt, ansmg dunng or as a result of the execution of this work or in any manner u'hatsoever. Any drspute relating to the interpretation or execution of this Agreement shall, turless amicably settled. be sub.;ect to concrlratron. In the event of failure of the laner, the dispute shall be senled by arbirraion.
